1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by Yangon Education Supply Co., Ltd. to procure a comprehensive set of educational materials, training resources, and professional development supplies specifically designated for the Teacher Primary program operating across the Myanmar Yangon metropolitan area. The Teacher Primary initiative is a government-aligned educational framework designed to enhance the pedagogical capabilities of primary school educators serving children aged five through eleven in all townships of Myanmar Yangon. This Purchase Order represents the third quarterly procurement cycle for the academic year 2025–2026 and covers the supply of instructional materials, classroom equipment, and professional development resources that will be distributed to approximately 1,200 Teacher Primary participants enrolled in the Myanmar Yangon regional training centers.

3. Delivery and Logistics – Myanmar Yangon

All goods specified in this Purchase Order shall be delivered to the designated Teacher Primary distribution warehouse located at 55 Pyay Road, Kamayut Township, Myanmar Yangon 11152. The supplier is responsible for all transportation, insurance, and handling costs within the Myanmar Yangon metropolitan area. Delivery must be completed no later than 30 June 2025. The supplier shall coordinate with the Teacher Primary logistics team in Myanmar Yangon to schedule staged deliveries across the following townships: Sanchaung, Insein, Kamayut, Hlaing, Dagon, and East Dagon. Each delivery batch must be accompanied by a packing list referencing this Purchase Order number (PO-YGN-2025-00847) and the applicable Teacher Primary program code. The supplier must ensure that all printed materials are produced in accordance with the Myanmar Yangon Ministry of Education printing standards and that all Burmese-language content has been reviewed by the Teacher Primary curriculum board based in Myanmar Yangon.

4. Payment Terms

Payment for this Purchase Order shall be made in Myanmar Kyat (MMK) via bank transfer to the supplier's designated account. The payment schedule is structured as follows: a 30% advance payment (MMK 105,531,750) shall be released within five (5) business days of the supplier's written acknowledgment of this Purchase Order. A 50% progress payment (MMK 175,886,250) shall be disbursed upon delivery of 70% of the Teacher Primary materials to the Myanmar Yangon warehouse and successful quality inspection. The remaining 20% balance (MMK 70,354,500) shall be paid within fifteen (15) business days following final acceptance of all items by the Teacher Primary program director in Myanmar Yangon. All payments are subject to the terms outlined in the master service agreement between the parties. Late payment beyond the stipulated period shall incur interest at the rate of 1.5% per month, calculated on the outstanding balance.

5. Quality Assurance and Acceptance

The supplier warrants that all items listed in this Purchase Order shall conform to the specifications outlined in the Teacher Primary program documentation approved by the Myanmar Yangon Education Authority. Upon delivery, a joint inspection team comprising representatives from Yangon Education Supply Co., Ltd. and the Teacher Primary quality assurance division will conduct a physical verification of all goods at the Myanmar Yangon warehouse. Any items found to be defective, damaged, or non-conforming shall be rejected and must be replaced by the supplier within seven (7) calendar days at no additional cost. The supplier shall provide a minimum twelve-month warranty on all electronic equipment (Item No. 04 and 06) and a six-month replacement guarantee on all printed Teacher Primary materials. The supplier acknowledges that the Teacher Primary program in Myanmar Yangon operates under strict quality protocols, and any failure to meet these standards may result in termination of this Purchase Order and subsequent procurement contracts.

6. Terms and Conditions
  1. This Purchase Order is governed by the laws of the Republic of the Union of Myanmar and shall be interpreted in accordance with Myanmar commercial law applicable in Myanmar Yangon.
  2. The supplier shall not subcontract any portion of the Teacher Primary material production without prior written consent from Yangon Education Supply Co., Ltd.
  3. All intellectual property contained in the Teacher Primary curriculum materials remains the exclusive property of the Myanmar Yangon Education Authority. The supplier shall not reproduce, distribute, or modify any Teacher Primary content beyond the scope of this Purchase Order.
  4. In the event of force majeure, including but not limited to natural disasters affecting Myanmar Yangon, either party may suspend performance of this Purchase Order upon written notice within forty-eight (48) hours of the event.
  5. Any disputes arising from this Purchase Order shall be resolved through mediation in Myanmar Yangon before escalation to the Myanmar Yangon Commercial Court.
  6. The supplier shall maintain full compliance with all Myanmar Yangon labor regulations, environmental standards, and tax obligations throughout the fulfillment of this Purchase Order.
  7. This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including warranty periods, have been fully discharged.
7. Authorization and Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Teacher Primary educational resources in Myanmar Yangon. This document constitutes a binding agreement between the parties for the duration of the Teacher Primary program cycle in Myanmar Yangon.
