- Governing Law: This Purchase Order is governed by the Swiss Code of Obligations (OR) and applicable cantonal regulations of the Canton of Zurich, Switzerland Zurich. All disputes shall be resolved under the jurisdiction of the courts of Zurich.
- Delivery Terms: All physical goods related to this Teacher Primary procurement shall be delivered to the specified locations within Switzerland Zurich no later than 31 July 2025, in time for the commencement of the 2025/2026 academic year. Delivery shall be DAP (Delivered at Place) per Incoterms 2020.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice and confirmed delivery. Payment shall be processed via bank transfer to the IBAN specified above. The issuing authority reserves the right to withhold payment for any items not conforming to the specifications outlined in this Purchase Order.
- Quality Assurance: All Teacher Primary educational materials, technology, and equipment must meet the quality standards set forth by the Swiss Conference of Cantonal Directors of Education (EDK) and comply with Swiss Federal Office for the Environment (BAFU) environmental regulations.
- Warranty: The vendor shall provide a minimum 24-month warranty on all hardware items and a 12-month warranty on all software licenses. The annual maintenance contract (Line Item 6) shall cover all repairs, software updates, and on-site technical support for Teacher Primary classroom systems throughout the contract period.
- Confidentiality: The vendor acknowledges that this Purchase Order pertains to the Teacher Primary program of the Canton of Zurich and that all student data, pedagogical materials, and internal communications are subject to the Swiss Federal Act on Data Protection (FADP / nDSG). Unauthorized disclosure is strictly prohibited.
- Compliance: The vendor confirms compliance with all Swiss labor laws, anti-corruption regulations (including the Swiss Criminal Code Art. 320–322), and the public procurement directives applicable to Switzerland Zurich governmental contracts exceeding CHF 100,000.
- Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the vendor shall be compensated for goods already delivered and services already rendered, up to the total Purchase Order value.
- Language: This Purchase Order is issued in English. In the event of any discrepancy, the German-language version held by the Department of Education, Youth and Culture, Switzerland Zurich, shall prevail.
