1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the New York City Department of Education, Division of Primary Education, to procure a comprehensive package of educational materials, classroom technology, and professional development services specifically designed for Teacher Primary personnel across all boroughs of the United States New York City school district. This Purchase Order governs the acquisition of resources intended to support approximately 12,400 Teacher Primary staff members who serve students in grades K through 5 across 1,487 public schools in the United States New York City educational system.

The scope of this Purchase Order encompasses the delivery of instructional materials, digital learning platforms, classroom furniture, and structured professional development programs tailored to the unique pedagogical needs of Teacher Primary educators. All items and services procured under this Purchase Order must comply with the standards established by the New York State Education Department and the specific curricular frameworks adopted by the United States New York City Board of Education.

3. DELIVERY AND IMPLEMENTATION SCHEDULE

All physical goods specified in this Purchase Order shall be delivered to the designated United States New York City school buildings no later than August 15, 2025, to ensure full readiness for the 2025-2026 academic year. The Teacher Primary Professional Development Program (Item 003) and the Mentorship Program (Item 007) shall commence on September 8, 2025, and continue through the full academic year. Digital platform licenses (Item 002) and assessment tool suites (Item 005) must be activated and accessible to all Teacher Primary staff by August 25, 2025. The vendor shall provide a detailed delivery and implementation timeline within ten (10) business days of this Purchase Order's execution.

4. TERMS AND CONDITIONS

4.1 Payment Terms: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon verified delivery and installation of all physical goods and activation of digital services, and 20% upon successful completion of the first semester of the Teacher Primary Professional Development Program. All payments shall be processed via electronic funds transfer to the vendor's designated account in the United States.

4.2 Compliance: The vendor shall ensure that all products and services conform to the New York State Education Department regulations, the United States New York City Board of Education procurement policies, and all applicable federal and state accessibility standards, including the Americans with Disabilities Act (ADA) and Section 504 of the Rehabilitation Act.

4.3 Quality Assurance: All Teacher Primary instructional materials must undergo a review and approval process by the NYC DOE Office of Curriculum and Instruction prior to distribution. The vendor shall provide sample materials for review no later than July 1, 2025.

4.4 Warranties: All physical goods carry a minimum two-year manufacturer's warranty. Digital platform licenses include full technical support and software updates for the duration of the subscription term. The vendor warrants that all Teacher Primary training programs will be delivered by certified educators with a minimum of five (5) years of experience in primary education within the United States New York City or equivalent urban school districts.

4.5 Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all goods delivered and services rendered up to the date of termination, less any applicable credits.

4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in New York City, in accordance with the rules of the American Arbitration Association.

4.7 Data Privacy: The vendor shall comply with all applicable data protection regulations, including the New York State Education Law and the Family Educational Rights and Privacy Act (FERPA), regarding any student or Teacher Primary personnel data processed through the digital platforms procured under this Purchase Order.

NOTE: This Purchase Order is subject to the availability of appropriated funds from the United States New York City municipal budget for the 2025-2026 fiscal year. The New York City Comptroller's office must certify fund availability prior to the release of the initial payment installment.
