2. SCOPE OF PURCHASE – TEACHER SECONDARY PROGRAM

This Purchase Order is issued by the Ministry of Education of Chile, operating through its Santiago Metropolitan Region office, to procure comprehensive professional development services, instructional materials, and technological resources specifically designed for Teacher Secondary personnel across all public and subsidized secondary schools in the Santiago metropolitan area. The Teacher Secondary program encompasses educators assigned to levels 7° through 4° Medio (ages 12–18) in subjects including Mathematics, Natural Sciences, Social Studies, Language and Literature, Physical Education, and Technical-Vocational disciplines.

The objective of this procurement is to ensure that all Teacher Secondary professionals in Chile Santiago receive standardized, high-quality training aligned with the National Curriculum Framework (Marco Curricular Nacional) and the Competency-Based Teaching Standards established by the Superintendencia de Educación. All deliverables under this Purchase Order must be culturally adapted to the Chilean educational context, delivered in Spanish, and compliant with the regulations of the Ley General de Educación (Ley 20.370) and its subsequent amendments.

4. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile, specifically the Ley de Compras Públicas (Ley 19.886) and its regulations as administered by the Contraloría General de la República. All disputes related to this Purchase Order for the Teacher Secondary program in Chile Santiago shall be resolved in the competent courts of Santiago, Chile.
  2. Payment Terms: Payment shall be made in three installments: 40% upon contract execution, 40% upon delivery of 75% of all line items, and 20% upon final acceptance and certification of all Teacher Secondary deliverables. Payments shall be processed via electronic transfer to the supplier's account registered with the Banco Central de Chile. All amounts are subject to the applicable IVA (Impuesto al Valor Agregado) of 19% as per Chilean tax law.
  3. Delivery and Location: All physical goods under this Purchase Order shall be delivered to the designated receiving warehouses of the Ministry of Education located in Santiago, Chile. The primary receiving facility is at Av. Libertador Bernardo O'Higgins 135, Santiago. All Teacher Secondary training sessions shall be conducted at approved secondary school venues throughout the Santiago Metropolitan Region, including but not limited to the communes of Providencia, Ñuñoa, Maipú, Puente Alto, and La Florida.
  4. Quality Standards: All services and materials procured under this Purchase Order must meet the quality standards established by the Agencia de Calidad de la Educación (AQE) for Teacher Secondary professional development. The supplier warrants that all instructional content is reviewed and approved by certified Chilean secondary education specialists prior to deployment.
  5. Confidentiality and Data Protection: The supplier shall comply with the Ley 19.628 on Protection of Private Life and the regulations of the Agencia de Protección de Datos. All personal data of Teacher Secondary personnel collected during the program in Chile Santiago shall be stored on servers located within Chile and shall not be transferred to third parties without explicit written authorization from the Ministry of Education.
  6. Warranty and Support: The supplier provides a 12-month warranty on all technology kits (Line Item 4) and a 24-month support period for the digital learning platform (Line Item 2). Technical support for Teacher Secondary users in Chile Santiago shall be available Monday through Friday, 08:00–18:00 Chile Standard Time (GMT-4/GMT-3 during DST).
  7. Termination: Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach. In the case of termination, the supplier shall deliver all completed Teacher Secondary materials and provide a full accounting of funds expended to date.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters (earthquakes, volcanic activity), national strikes, or government-mandated closures affecting secondary schools in Chile Santiago.
  9. Compliance: The supplier certifies that it holds all necessary permits, registrations, and accreditations to operate in the educational services sector in Chile. The supplier further certifies that no part of the compensation under this Purchase Order shall be paid to any public official in connection with the Teacher Secondary program.
5. AUTHORIZATION AND SIGNATURES

By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the Teacher Secondary professional development program in Chile Santiago. This document constitutes a binding agreement effective from the date of the last signature.
