2. Scope and Description of Purchase

This Purchase Order is issued by the Guangzhou Municipal Education Bureau to procure qualified Teacher Secondary personnel and associated professional development services for the 2025–2026 academic year. All prices are quoted in Chinese Yuan (CNY) and are inclusive of applicable Value Added Tax (VAT) at 6% for services and 13% for goods, in accordance with the tax regulations of the People's Republic of China. No additional charges shall apply beyond the amounts stated in this Purchase Order.

4. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the relevant education procurement regulations of Guangdong Province, China Guangzhou jurisdiction.
  2. Qualification Verification: All Teacher Secondary candidates must present a valid PRC Teacher Qualification Certificate (Secondary level), a bachelor's degree or higher from an accredited institution, and pass the Guangzhou Municipal Education Bureau's background and competency assessment prior to deployment.
  3. Delivery and Deployment: The Supplier shall ensure that all Teacher Secondary personnel are physically present and commencing duties at their assigned Guangzhou secondary school no later than the dates specified in Section 3. Failure to meet deployment deadlines shall result in a penalty of 0.5% of the total contract value per day of delay, capped at 10%.
  4. Payment Terms: Payment shall be made in three installments: 40% upon execution of this Purchase Order, 40% upon successful completion of the Professional Development Program and verified deployment of all Teacher Secondary personnel, and 20% upon satisfactory completion of the first full academic term (by 31 January 2026). Payments shall be made via bank transfer to the Supplier's designated account in China Guangzhou.
  5. Warranty and Replacement: The Supplier guarantees that all Teacher Secondary personnel shall remain in their assigned positions for a minimum of one full academic year. In the event of early departure, the Supplier shall provide a qualified replacement Teacher Secondary within 30 calendar days at no additional cost to the Purchaser.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding student records, personnel data, and proprietary curriculum materials in accordance with the Personal Information Protection Law of the People's Republic of China.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be submitted to the Guangzhou International Arbitration Commission (CIETAC Guangzhou) for binding arbitration in China Guangzhou.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies, as defined under PRC law.
5. Authorization and Acceptance

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Teacher Secondary services and related goods in China Guangzhou. This document constitutes a binding agreement effective from the date of the last signature.
