Terms & Conditions of this Purchase Order

1. This Purchase Order is issued by the Teacher Secondary Procurement Authority, India New Delhi, and constitutes a binding contractual obligation upon acceptance by the named supplier. All terms herein shall be governed by the laws of the Republic of India, with jurisdiction vested in the competent courts of New Delhi.
2. The supplier shall deliver all Teacher Secondary educational materials, equipment, and software licenses to the designated delivery address in India New Delhi within the stipulated delivery window. Any delay beyond 20 July 2025 shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.
3. All hardware items procured under this Purchase Order for the Teacher Secondary programme must carry a minimum manufacturer warranty of three (3) years, with on-site service coverage across the India New Delhi metropolitan region, including Noida, Gurgaon, and Faridabad satellite zones.
4. Payment shall be processed via RTGS/NEFT to the supplier's designated bank account within forty-five (45) days of receipt of a valid tax invoice and a Delivery Challan signed by the Teacher Secondary Training Institute, New Delhi. No advance payment shall be made against this Purchase Order.
5. The supplier warrants that all Teacher Secondary content, including the digital curriculum platform and printed handbooks, shall be fully aligned with the Central Board of Secondary Education (CBSE) syllabus as applicable in India New Delhi for the academic year 2025–2026.
6. Intellectual property rights for all software and digital content delivered under this Purchase Order shall remain with the supplier. The Teacher Secondary Procurement Authority, India New Delhi, is granted a non-exclusive, non-transferable license for internal educational use within its designated institutions.
7. Any dispute arising from or in connection with this Purchase Order shall first be referred to mediation under the Mediation Act, 1997, with the seat of mediation in India New Delhi. Failing resolution within sixty (60) days, the matter shall be escalated to the appropriate civil court in New Delhi.
8. This Purchase Order may be amended only by mutual written consent of both parties. No verbal or email-based modifications to the scope, quantity, or pricing of Teacher Secondary items shall be considered valid unless countersigned by the Director of Teacher Secondary Affairs, India New Delhi.
9. The supplier shall comply with all applicable labour, environmental, and data-protection regulations of India, including the Digital Personal Data Protection Act, 2023, particularly with respect to student data processed through the Teacher Secondary assessment software hosted in India New Delhi.
10. This Purchase Order is valid for acceptance within fifteen (15) calendar days from the date of issue. Failure to confirm acceptance in writing within this period shall render this Purchase Order null and void without further notice.
