All physical goods listed under this Purchase Order shall be delivered to the designated Almaty City Department of Education warehouse located at 45 Abay Avenue, Almaty, Kazakhstan, no later than 30 July 2025. The supplier is responsible for all transportation, customs clearance (if applicable for imported components), and final installation of the interactive whiteboard systems and laboratory equipment within the respective secondary schools across Almaty. The Teacher Secondary training workshop series (Item 03) shall be conducted at the Almaty International Education Center, 78 Satpayev Street, Almaty, Kazakhstan, between 15 September and 26 September 2025. All digital licenses and software (Items 04 and 06) must be activated and accessible to all enrolled Teacher Secondary participants by 1 September 2025.
Payment for this Purchase Order shall be made in the following schedule: (a) 30% advance payment (89,549,040 KZT) within 10 business days of mutual signature of this document; (b) 50% upon confirmed delivery and installation of all physical goods in Almaty (149,248,400 KZT); (c) 20% final payment upon successful completion of the Teacher Secondary training program and full activation of all digital services (59,699,360 KZT). All payments shall be transferred via bank wire to the supplier's account at Jusan Bank, Almaty, Kazakhstan, IBAN: KZ85 9900 0000 0000 1234 5678. Late payments shall incur a penalty of 0.05% per calendar day as stipulated under the Civil Code of the Republic of Kazakhstan.
- This Purchase Order is governed by the laws of the Republic of Kazakhstan. Any disputes arising from the interpretation or execution of this document shall be resolved through the Almaty City Arbitration Court.
- The supplier warrants that all Teacher Secondary materials comply with the national educational standards established by the Ministry of Education and Science of Kazakhstan and meet the quality requirements specified in the Almaty municipal procurement regulations.
- All printed and digital content for the Teacher Secondary program must be available in Kazakh, Russian, and English to ensure accessibility for all secondary school teachers operating in the multilingual environment of Almaty, Kazakhstan.
- The supplier shall provide a minimum 24-month warranty on all hardware items (interactive whiteboards, laboratory kits) and a 12-month warranty on all software and digital licenses. Warranty service shall be provided locally in Almaty, Kazakhstan.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. This document constitutes the entire agreement between the parties regarding the Teacher Secondary procurement for the 2025–2026 academic year in Almaty.
- The supplier shall maintain full compliance with Kazakhstan's data protection legislation (Law on Personal Data and Its Protection, No. 94-V, 21.05.2014) regarding all student and teacher data processed through the digital platforms specified in this Purchase Order.
- Force majeure events, including but not limited to natural disasters affecting the Almaty region, shall extend delivery deadlines proportionally, provided written notice is given within 5 business days of the event.
By signing below, both parties acknowledge that this Purchase Order for the Teacher Secondary program in Almaty, Kazakhstan, has been reviewed, understood, and accepted in its entirety. The terms set forth herein are binding upon both the Almaty City Department of Education and EduSupply Central Asia LLP effective from the date of the last signature.
