2. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by the Wellington Secondary Education Authority to procure educational resources, professional development materials, and classroom equipment specifically designated for Teacher Secondary staff across all secondary schools operating within the New Zealand Wellington region. The goods and services outlined in this Purchase Order are intended to support the ongoing professional development, classroom delivery, and administrative functions of Teacher Secondary personnel in Years 9 through 13 across the Wellington secondary education sector.
All items purchased under this Purchase Order shall be delivered to the designated Teacher Secondary resource centres located in New Zealand Wellington and shall comply with the New Zealand Curriculum standards for secondary education as well as the Health and Safety at Work Act 2015 of New Zealand.

All goods specified in this Purchase Order shall be delivered to the Teacher Secondary resource distribution centre located at 125 Lambton Quay, Wellington 6011, New Zealand Wellington. Delivery is required no later than 28 July 2025. The supplier, TeachWell Ltd, is responsible for all freight, insurance, and installation costs within the New Zealand Wellington metropolitan area. Installation of technology bundles and laboratory equipment shall be completed and certified by qualified technicians within five (5) business days of delivery. All Teacher Secondary staff receiving the goods shall sign a delivery acknowledgment form confirming the condition and completeness of each item.
5. PAYMENT TERMSPayment for this Purchase Order shall be made in accordance with the following schedule: Fifty percent (50%) of the total amount, being NZD 214,410.25, is due upon confirmation of order acceptance by the supplier. The remaining fifty percent (50%), being NZD 214,410.25, is due within thirty (30) calendar days following full delivery, installation, and written acceptance by the Teacher Secondary program coordinator in New Zealand Wellington. Payment shall be made via electronic funds transfer (EFT) to the supplier's nominated New Zealand bank account. Late payments shall attract interest at the rate of 10% per annum in accordance with the New Zealand Consumer Guarantees Act 1993 and applicable commercial terms.
6. TERMS AND CONDITIONS6.1 This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the New Zealand Contract and Commercial Law framework.
6.2 All goods supplied under this Purchase Order for Teacher Secondary use must be new, unused, and in full compliance with the New Zealand Curriculum (NZC) standards for secondary education (Years 9–13).
6.3 The supplier warrants that all Teacher Secondary materials shall be free from defects in design, materials, and workmanship for a period of twelve (12) months from the date of delivery in New Zealand Wellington.
6.4 The supplier shall provide a full warranty and after-sales support for all technology and laboratory equipment. Any defective Teacher Secondary items shall be repaired or replaced at no additional cost within fourteen (14) business days of notification.
6.5 The supplier shall comply with all applicable New Zealand employment, health and safety, and environmental regulations, including the Health and Safety at Work Act 2015 and the Resource Management Act 1991, when delivering and installing goods in New Zealand Wellington.
6.6 The Wellington Secondary Education Authority reserves the right to reject any Teacher Secondary items that do not meet the specifications outlined in this Purchase Order. Rejected items shall be returned to the supplier at the supplier's expense.
6.7 This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party.
6.8 All intellectual property contained within the Teacher Secondary digital resources and software licences shall remain the property of the respective copyright holders. The Wellington Secondary Education Authority is granted a non-exclusive, non-transferable licence for use within the New Zealand Wellington secondary education sector only.
6.9 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in New Zealand Wellington before pursuing any legal proceedings in the District Court of Wellington, New Zealand.
6.10 This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the Teacher Secondary procurement in New Zealand Wellington.
