This Purchase Order is issued by the Bangkok Metropolitan Secondary Education Authority to procure specialized educational materials, classroom technology, and professional development resources specifically designated for the Teacher Secondary program operating within the Thailand Bangkok metropolitan area. The items listed below are intended to support the ongoing instructional activities of certified Teacher Secondary personnel across all secondary school campuses under the jurisdiction of the Bangkok Education Department. All goods and services referenced in this Purchase Order shall comply with the standards set forth by the Office of the Basic Education Commission (OBEC) of Thailand and shall be delivered to the designated Thailand Bangkok facilities prior to the commencement of the new academic term.

Amount in words: Four Million Seven Hundred Sixty-One Thousand Five Hundred Sixty Thai Baht only.

All items specified in this Purchase Order shall be delivered to the Bangkok Metropolitan Secondary Education Authority warehouse located at 128 Ratchadamri Road, Pathum Wan, Bangkok 10330, Thailand. Delivery must be completed no later than 30 June 2025. The supplier, Siam Educational Supplies Co., Ltd., is responsible for all transportation, insurance, and risk of loss until the goods are received and signed for by the designated Teacher Secondary program coordinator at the Thailand Bangkok receiving facility. Partial deliveries are not permitted unless explicitly authorized in writing by the Buyer. All packaging must be suitable for the tropical climate conditions prevalent in Thailand Bangkok and must protect the contents from humidity, dust, and physical damage during transit.

Payment for this Purchase Order shall be made in Thai Baht (THB) via bank transfer to the supplier's designated account. The payment schedule is as follows: 30% advance payment upon confirmation of this Purchase Order, 50% upon successful delivery and inspection of all items at the Thailand Bangkok receiving site, and the remaining 20% upon completion of the installation, calibration, and training services. Payment shall be processed within fifteen (15) business days of receipt of a valid tax invoice (Fap Tur) issued by the supplier in accordance with Thai Revenue Department regulations. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Thai commercial law.

All goods delivered under this Purchase Order must meet the specifications outlined in the attached technical annex and must conform to the quality standards required for Teacher Secondary educational use in Thailand Bangkok. The Buyer reserves the right to inspect and test all items upon delivery. Any item found to be defective, damaged, or non-conforming shall be rejected and must be replaced by the supplier within ten (10) business days at no additional cost to the Buyer. The Teacher Secondary program coordinator shall issue a formal Certificate of Acceptance upon satisfactory completion of all inspections.

This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation between the parties. If negotiation fails, the dispute shall be submitted to the competent court of jurisdiction in Bangkok, Thailand. Both parties acknowledge that all communications regarding this Purchase Order shall be conducted in English and/or Thai, with the English version prevailing in the event of any discrepancy.

This Purchase Order constitutes the entire agreement between the Buyer and the Seller with respect to the procurement of Teacher Secondary educational supplies and services in Thailand Bangkok. No modification, amendment, or waiver of any provision of this Purchase Order shall be effective unless made in writing and signed by authorized representatives of both parties. The supplier warrants that all goods are new, unused, and free from liens or encumbrances. The supplier shall maintain adequate insurance coverage for all goods in transit within Thailand Bangkok. This Purchase Order may not be assigned or transferred without the prior written consent of the Buyer.
