This Purchase Order is issued to formally engage a qualified Telecommunication Engineer to provide specialized technical services within the metropolitan area of Belgium Brussels. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and maintenance of telecommunications infrastructure, including but not limited to fiber-optic networks, 5G base station deployments, VoIP systems, and data center interconnects across the Brussels-Capital Region.

The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Telecommunications Engineering, Electronics Engineering, or a closely related discipline, and must possess at least eight (8) years of progressive professional experience in telecommunications network architecture. The engineer shall be fully proficient in the regulatory framework governing telecommunications in Belgium, including compliance with the Belgian Institute for the Protection of Consumer (BIPCO) standards and the regulatory directives issued by the Belgian telecom regulator BIPT (Belgian Institute for Postal and Telecommunications Services).

All work performed by the Telecommunication Engineer under this Purchase Order shall be carried out primarily at the Buyer's facilities located in Belgium Brussels, with occasional travel to satellite sites within the Brussels-Capital Region as operationally required. The Telecommunication Engineer shall report directly to the Chief Technology Officer of Brussels Infrastructure & Networks S.A. and shall adhere to all internal safety protocols, data protection regulations (including GDPR as applicable in Belgium), and site-specific operational procedures in force in Belgium Brussels.

Payment for services rendered under this Purchase Order shall be made on a monthly basis. The Telecommunication Engineer's monthly retainer shall be invoiced on the last working day of each calendar month and shall be due within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the Supplier's designated account in Belgium. Late payments shall accrue interest at the rate prescribed by the Belgian Code of Economic Law. The Buyer reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order until such deficiencies are rectified by the Telecommunication Engineer.

6.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All services shall be performed in accordance with the professional standards expected of a Telecommunication Engineer operating in Belgium Brussels.

6.2 The Telecommunication Engineer shall maintain full professional liability insurance with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout the territory of Belgium, for the entire duration of this Purchase Order.

6.3 The Supplier warrants that the Telecommunication Engineer assigned to this Purchase Order shall be the individual identified in Annex A and shall not be substituted without the prior written consent of the Buyer.

6.4 All intellectual property, network designs, documentation, and reports produced by the Telecommunication Engineer in the course of performing services under this Purchase Order in Belgium Brussels shall be the exclusive property of the Buyer upon full payment.

6.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Telecommunication Engineer shall complete all in-progress work and deliver all outstanding documentation within the notice period.

6.6 This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the competent courts of Brussels, Belgium.
