3. SCOPE OF WORK AND TECHNICAL REQUIREMENTS

The Telecommunication Engineer engaged under this Purchase Order shall hold a minimum of a bachelor's degree in Telecommunications Engineering or Electrical Engineering, registered with the Conselho Regional de Engenharia e Agronomia (CREA-RJ), and possess no fewer than eight (8) years of professional experience in the design and implementation of telecommunication networks in Brazil. The Telecommunication Engineer shall be responsible for ensuring full compliance with the regulations established by the Agência Nacional de Telecomunicações (ANATEL) and all applicable municipal ordinances of the city of Rio de Janeiro, state of Rio de Janeiro, Brazil.

All work shall be performed within the geographic boundaries of Brazil Rio de Janeiro, including but not limited to the districts of Centro, Zona Sul, Zona Norte, and Zona Oeste. The Telecommunication Engineer shall coordinate with local authorities, utility companies, and property owners to secure necessary permits, right-of-way access, and environmental clearances prior to the commencement of any physical installation work in Brazil Rio de Janeiro.

4. DELIVERY AND SCHEDULE

The Telecommunication Engineer shall commence work on or before 01 August 2025. The total project duration shall not exceed one hundred and eighty (180) calendar days from the start date. Milestone deliverables shall be submitted to the Buyer's project management office located in Brazil Rio de Janeiro on the following schedule:

Milestone 1 (Day 30): Completion of network design documentation and site survey reports for all locations in Brazil Rio de Janeiro.
Milestone 2 (Day 75): Completion of fiber-optic cable laying and initial splicing across the designated routes in Brazil Rio de Janeiro.
Milestone 3 (Day 130): Full installation and calibration of all microwave transmission equipment and active network components.
Milestone 4 (Day 180): Final testing, commissioning, as-built documentation, and handover of the completed telecommunication infrastructure in Brazil Rio de Janeiro.

5. PAYMENT TERMS

Payment for this Purchase Order shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the account designated by the Supplier. The payment schedule is as follows:

30% advance payment upon signing of this Purchase Order and receipt of the Telecommunication Engineer's mobilization plan.
40% upon successful completion of Milestone 2, subject to inspection and approval by the Buyer's technical team in Brazil Rio de Janeiro.
30% upon final acceptance of all deliverables and issuance of the Certificate of Completion by the Buyer.

Invoices shall be submitted to the Buyer's accounts payable department in Brazil Rio de Janeiro no later than five (5) business days following each milestone completion. Payment shall be processed within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law.

6. TERMS AND CONDITIONS

This Purchase Order is governed by the laws of the Federative Republic of Brazil, particularly the Civil Code (Lei nº 10.406/2002) and the Public Procurement Law where applicable.
The Telecommunication Engineer shall maintain full professional liability insurance and workers' compensation coverage (CIPA) throughout the duration of the engagement in Brazil Rio de Janeiro.
The Supplier shall ensure that the Telecommunication Engineer complies with all occupational health and safety standards (NR-35 for work at heights, NR-10 for electrical safety) as mandated by Brazilian labor regulations.
Any modification to the scope, schedule, or cost of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements shall not be binding.
The Supplier warrants that all equipment and materials supplied for the telecommunication project in Brazil Rio de Janeiro shall be new, of original manufacturer quality, and carry a minimum warranty period of twenty-four (24) months.
Confidentiality: All technical data, network topologies, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential by both parties for a period of five (5) years following project completion.
Disputes arising from this Purchase Order shall be resolved through arbitration in the city of Rio de Janeiro, state of Rio de Janeiro, Brazil, in accordance with the rules of the Câmara de Arbitragem do Mercado (CAM-CCBC).
The Telecommunication Engineer shall submit weekly progress reports to the Buyer, detailing work completed, challenges encountered, and the plan for the following week, all pertaining to activities conducted in Brazil Rio de Janeiro.

7. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer for the telecommunication infrastructure project in Brazil Rio de Janeiro. This document constitutes a binding commercial agreement between the parties.
