This Purchase Order is issued by Northbridge Telecommunications Infrastructure Ltd. to formally engage the services of a qualified Telecommunication Engineer through Meridian Network Solutions Inc. for the design, deployment, and commissioning of a next-generation fiber-optic and 5G hybrid network infrastructure across the metropolitan region of Canada Toronto. The Telecommunication Engineer shall be responsible for the end-to-end technical delivery of the project, including site surveys, network architecture design, equipment procurement oversight, installation supervision, signal testing, and final commissioning of all telecommunications assets within the defined scope.

The Telecommunication Engineer must hold a valid Professional Engineer (P.Eng) license issued by the Professional Engineers Ontario (PEO) regulatory body and possess a minimum of ten (10) years of demonstrated experience in large-scale telecommunications infrastructure projects within Canada Toronto or equivalent metropolitan environments. The engineer must be proficient in ITU-T, ETSI, and Canadian Radio-television and Telecommunications Commission (CRTC) regulatory frameworks applicable to the Canada Toronto jurisdiction.

All rates are quoted in Canadian Dollars (CAD). HST is applicable as the work is performed in Canada Toronto, Ontario.

The Telecommunication Engineer engagement shall commence on July 1, 2025 and is expected to be completed no later than December 15, 2025. All on-site work, including tower climbs, underground conduit inspections, and central office equipment configuration, shall be conducted at designated project sites throughout the Canada Toronto metropolitan area, including but not limited to the Downtown Core, North York, Scarborough, and Etobicoke districts. The Telecommunication Engineer must comply with all municipal bylaws, Ontario Occupational Health and Safety Act (OHSA) requirements, and Canada Toronto city permitting regulations at all times.

Payment against this Purchase Order shall be made in monthly progress installments, invoiced on the last business day of each calendar month. Invoices must reference this Purchase Order number (PO-2025-CT-04872) and the specific Telecommunication Engineer hours logged. Payment terms are Net 30 days from the date of a valid invoice. A final payment of 10% of the total contract value shall be withheld until the Telecommunication Engineer delivers the complete as-built documentation package and the project receives final sign-off from the Canada Toronto municipal telecommunications authority. Late payments shall accrue interest at 1.5% per month as stipulated under the Ontario Prompt Payment and Dispute Resolution Act.

7.1 This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto under the rules of the Arbitration Institute of the Standards Association of Canada (AISC).

7.2 The Telecommunication Engineer shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD and workers' compensation insurance as required by the Ontario Workplace Safety and Insurance Board (WSIB). Certificates of insurance must be provided prior to commencement of work.

7.3 Meridian Network Solutions Inc. shall not subcontract any portion of the Telecommunication Engineer services without prior written consent from Northbridge Telecommunications Infrastructure Ltd.

7.4 All intellectual property, design documents, network schematics, and technical reports produced by the Telecommunication Engineer in the course of this Purchase Order shall be the sole property of the Buyer upon full payment.

7.5 The Telecommunication Engineer is bound by strict confidentiality obligations regarding all network topology data, customer information, and proprietary infrastructure details encountered during the project in Canada Toronto.

7.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Telecommunication Engineer services rendered up to the termination date.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Telecommunication Engineer services in Canada Toronto. This document constitutes a binding agreement upon execution by both authorized representatives.
