This Purchase Order is issued by Andes Telecom Infrastructure S.A. to procure the professional services of a qualified Telecommunication Engineer to be deployed and performing all duties within the city of Chile Santiago and its surrounding Metropolitan Region. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and commissioning of fiber-optic network infrastructure, microwave backhaul links, and 5G small-cell deployments across seventeen (17) designated sites in Chile Santiago.
The Telecommunication Engineer must hold a minimum of a professional degree in Telecommunications Engineering or a closely related discipline, recognized by the Chilean Ministry of Education, and possess no fewer than eight (8) years of progressive experience in large-scale network infrastructure projects. The Telecommunication Engineer shall be fully licensed to practice engineering in Chile and must comply with all regulatory requirements established by SUBTEL (Subsecretaría de Telecomunicaciones) for operations within Chile Santiago.
Specific deliverables under this Purchase Order include, but are not limited to: detailed network topology design documents; site survey reports for each of the seventeen locations in Chile Santiago; installation supervision and quality assurance during physical deployment; performance testing and optimization of all installed systems; preparation of as-built documentation; and a final acceptance report submitted to the Buyer's project management office in Chile Santiago.

- This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved in the competent courts of Chile Santiago.
- The Telecommunication Engineer(s) engaged under this Purchase Order shall be subject to the Buyer's site safety protocols and must comply with all occupational health and safety regulations applicable in Chile Santiago, including those issued by the Superintendencia de Seguridad Social (SUSESO).
- The Supplier warrants that the Telecommunication Engineer assigned to this Purchase Order shall not be simultaneously engaged in a conflicting project within Chile Santiago or any other location during the contract period.
- All intellectual property, design documents, and technical reports produced by the Telecommunication Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment.
- The Supplier shall maintain professional liability insurance with a minimum coverage of CLP 500,000,000, valid throughout the duration of this Purchase Order and covering all operations in Chile Santiago.
- Payment shall be processed in monthly installments corresponding to the Telecommunication Engineer's verified hours and deliverables, subject to the Buyer's quality review and acceptance in Chile Santiago.
- Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, provided that all work completed to date is compensated at the rates specified herein.
- The Telecommunication Engineer shall adhere to all data protection obligations under Chilean Law No. 19.628 on the Protection of Private Life and any applicable regulations enforced within Chile Santiago.
- This Purchase Order does not create a partnership, joint venture, or employment relationship between the parties. The Telecommunication Engineer is engaged as an independent professional service provider.
- Any amendments to this Purchase Order must be executed in writing and signed by authorized representatives of both parties, with a copy filed at the Buyer's offices in Chile Santiago.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer to perform services in Chile Santiago. This Purchase Order becomes effective upon the last signature and remains valid until the completion of all deliverables or the expiration date stated herein, whichever occurs first.
