2. Scope of Services – Telecommunication Engineer Deployment

This Purchase Order is issued to formally engage a qualified Telecommunication Engineer to provide comprehensive technical services for the design, installation, testing, and commissioning of a next-generation fiber-optic and 5G base station network infrastructure project located in China Guangzhou. The Telecommunication Engineer shall be responsible for all aspects of telecommunications system architecture, signal propagation analysis, network topology design, and regulatory compliance in accordance with the Ministry of Industry and Information Technology (MIIT) of the People's Republic of China.

The services to be rendered by the Telecommunication Engineer include, but are not limited to: site survey and feasibility assessment across the Yuexiu, Haizhu, and Baiyun districts of China Guangzhou; design of a 40-kilometer fiber-optic backbone network; installation and configuration of 25 5G small-cell base stations; integration with the existing Guangzhou municipal telecommunications grid; performance testing and optimization; and preparation of all technical documentation required for MIIT licensing and operational approval in China Guangzhou.

4. Financial Terms

All amounts are stated in Chinese Yuan (CNY) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate. Payment shall be made in four equal installments of 25% each, due upon completion of each milestone as outlined in Section 3. Payment shall be remitted via bank transfer to the account designated by the Supplier. This Purchase Order constitutes the sole financial commitment of the Buyer for the Telecommunication Engineer services described herein.

5. Terms and Conditions

5.1 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.

5.2 The Telecommunication Engineer engaged under this Purchase Order must hold a valid PRC Telecommunications Professional Engineer certification (Grade 1 or above) and possess a minimum of eight (8) years of documented experience in fiber-optic and wireless telecommunications infrastructure projects within China Guangzhou or equivalent metropolitan areas.

5.3 The Supplier shall ensure that the Telecommunication Engineer complies with all local regulations, safety standards, and environmental requirements applicable to telecommunications construction in China Guangzhou, including but not limited to the Guangzhou Municipal Urban Planning Bureau permits and the Guangdong Provincial Communications Administration operational licenses.

5.4 The Buyer reserves the right to inspect the work performed by the Telecommunication Engineer at any stage of the project. Failure to meet the technical specifications outlined in the attached Scope of Work shall result in a cure period of fourteen (14) calendar days before any penalty or termination action is initiated under this Purchase Order.

5.5 All intellectual property, design documents, network schematics, and technical reports produced by the Telecommunication Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Telecommunication Engineer shall not replicate, distribute, or utilize such materials for any other project without prior written consent.

5.6 The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CNY 10,000,000 for the duration of the Telecommunication Engineer's engagement in China Guangzhou. Certificates of insurance shall be provided to the Buyer prior to the commencement date specified in Section 3.

5.7 Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting China Guangzhou, shall suspend the obligations under this Purchase Order for the duration of the event. The affected party must provide written notice within forty-eight (48) hours of the occurrence.

5.8 This Purchase Order becomes effective upon signature by both parties and remains in full force until the completion of all deliverables, final acceptance, and settlement of all financial obligations. No amendment to this Purchase Order shall be valid unless executed in writing by both the Buyer and the Supplier.

6. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer for the telecommunications infrastructure project in China Guangzhou.
