This Purchase Order is issued by Accra Network Solutions Ltd. to West Africa Telecom Professionals Ltd. for the engagement of a qualified Telecommunication Engineer to provide specialized technical services for the design, installation, testing, and commissioning of a fibre-optic backbone network and associated wireless infrastructure across multiple sites in Ghana Accra. The Telecommunication Engineer shall be responsible for the end-to-end delivery of the project as outlined in the attached Statement of Work (SOW-TEC-2025-012), which forms an integral part of this Purchase Order.

The scope of work for the Telecommunication Engineer includes, but is not limited to: site surveys and feasibility assessments at all designated locations within the Greater Accra Region; design of the fibre-optic distribution network; procurement coordination for all necessary cabling, patch panels, optical transceivers, and active equipment; physical installation and termination of single-mode and multi-mode fibre cables; configuration of microwave radio links and 5G small-cell nodes; performance testing, signal attenuation measurement, and network optimization; preparation of as-built documentation, test reports, and commissioning certificates; and a minimum of ninety (90) days of post-commissioning technical support and warranty coverage.

2. PROJECT LOCATION AND DURATION

All services under this Purchase Order shall be performed exclusively within the boundaries of Ghana Accra, with primary work sites located in the Ridge, Airport Residential, Tema Community 25, and Kasoa industrial zones. The Telecommunication Engineer is expected to commence on-site work no later than 1 July 2025 and shall complete all installation and commissioning activities by 30 September 2025. The total project duration is twelve (12) weeks, subject to the milestone schedule detailed in Appendix A of this Purchase Order.

Payment shall be made in three (3) instalments: 30% upon execution of this Purchase Order; 50% upon successful completion of installation and passing of all intermediate acceptance tests in Ghana Accra; and 20% upon final commissioning, handover of as-built documentation, and expiry of the warranty period. All payments shall be made via bank transfer to the account designated by the Supplier. The Telecommunication Engineer and supporting team shall submit itemized invoices referencing this Purchase Order number (PO-2025-TEC-00847) for each payment milestone.

4. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by the laws of the Republic of Ghana.
  2. The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Telecommunication Engineering or Electronic Engineering, possess at least eight (8) years of progressive experience in fibre-optic and wireless network deployment, and be registered with the Engineering Council of Ghana (ECG). A valid professional practice certificate shall be presented prior to commencement of work in Ghana Accra.
  3. The Supplier shall ensure that the Telecommunication Engineer and all support personnel comply with all applicable occupational health and safety regulations as enforced by the Ghana Labour Act, 2003 (Act 651), and the Environmental Protection Agency (EPA) of Ghana.
  4. All work performed in Ghana Accra shall adhere to the National Communications Authority (NCA) of Ghana technical standards, the Ghana Standards Authority (GSA) specifications, and the International Telecommunication Union (ITU-T) recommendations where applicable.
  5. The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum cover of GHS 2,000,000 for the duration of the project. Certificates of insurance shall be provided to the Buyer before the Telecommunication Engineer commences on-site activities.
  6. Any variation or amendment to the scope of work defined in this Purchase Order must be agreed upon in writing by both parties through a formal Variation Order. No additional work shall be undertaken without prior written authorization.
  7. The Supplier shall provide weekly progress reports to the Buyer's project manager, detailing the activities of the Telecommunication Engineer, milestones achieved, risks identified, and any delays affecting the project timeline in Ghana Accra.
  8. In the event of default or failure to meet the agreed milestones, the Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice. Upon termination, the Supplier shall be compensated only for work satisfactorily completed and verified up to the date of termination.
  9. All intellectual property, design documents, network configurations, and as-built drawings produced under this Purchase Order shall become the sole property of Accra Network Solutions Ltd. upon full payment.
  10. Disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in Accra, Ghana, in accordance with the Arbitration Act, 2005 (Act 698).
5. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Telecommunication Engineer to deliver the specified services in Ghana Accra. This Purchase Order is effective from the date of the last signature below.
