This Purchase Order is issued by Shinagawa Network Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to Global Telecom Solutions Group Inc. The scope of this engagement encompasses the design, deployment, testing, and ongoing maintenance of next-generation 5G and fiber-optic telecommunication infrastructure across the Tokyo metropolitan district, including but not limited to the wards of Shinagawa, Minato, Chuo, and Shibuya.
The Telecommunication Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Electrical Engineering, Telecommunications, or a closely related discipline, and must possess valid certifications including but not limited to the Japan Telecommunication Engineering Association (JTEA) Level 1 Professional License, Cisco Certified Network Professional (CCNP), and the National Institute of Information and Communications Technology (NICT) 5G Deployment Certification. The engineer must demonstrate a minimum of eight (8) years of progressive professional experience in telecommunication network architecture, signal processing, and infrastructure deployment, with at least three (3) years of direct operational experience within the Japan Tokyo telecommunications market.

The Telecommunication Engineer shall commence all duties and on-site operations in Japan Tokyo no later than 1 July 2025. The full engagement period under this Purchase Order shall extend for a duration of twelve (12) months, concluding on 30 June 2026, subject to mutual written agreement for renewal. All deliverables associated with the 5G small cell deployment in the Tokyo ward districts must be completed and certified by 31 March 2026. The fiber-optic backbone integration milestone is scheduled for completion by 15 February 2026. All work shall be conducted in strict compliance with the Japan Telecommunications Business Act (Act No. 86 of 1950, as amended), the Radio Act (Act No. 131 of 1950), and all applicable local ordinances of the Tokyo Metropolitan Government.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Civil Code of Japan (Act No. 89 of 1896, as amended). Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association (JCAA).
- Payment Schedule: The Buyer shall remit payment to the Seller within thirty (30) calendar days of receipt of a valid invoice. The initial engagement fee for the Telecommunication Engineer shall be paid monthly in arrears. Project milestone payments for infrastructure deployment shall be issued upon written acceptance of deliverables by the Buyer's designated project manager in Japan Tokyo.
- Confidentiality and Data Protection: The Seller and the engaged Telecommunication Engineer shall adhere to the Act on the Protection of Personal Information (APPI, Act No. 57 of 2003) and shall execute a mutual Non-Disclosure Agreement (NDA) prior to commencing any work in Japan Tokyo. All network schematics, customer data, and proprietary infrastructure plans remain the exclusive intellectual property of the Buyer.
- Insurance and Liability: The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of ¥500,000,000 (five hundred million Japanese Yen) for the duration of this Purchase Order. The Seller assumes full responsibility for any damage to existing telecommunication infrastructure in Japan Tokyo caused by the negligence of the Telecommunication Engineer or their subcontractors.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' written notice. Upon termination, the Seller shall deliver all completed work product, documentation, and access credentials to the Buyer within ten (10) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes, tsunamis common to the Japan Tokyo region), government-mandated shutdowns, or acts of war.
- Compliance and Licensing: The Seller warrants that the Telecommunication Engineer engaged under this Purchase Order holds all necessary licenses and permits required to perform telecommunication engineering work in Japan Tokyo, and shall maintain such credentials throughout the engagement period.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Telecommunication Engineer services in Japan Tokyo.
