This Purchase Order is issued by Al-Nakheel Telecommunications Infrastructure Co. W.L.L. (hereinafter referred to as the "Purchasing Entity") to procure the professional services of a qualified Telecommunication Engineer for the duration of the project period specified herein. The Telecommunication Engineer shall be deployed to the project site located in Kuwait, Kuwait City, and shall be responsible for the design, implementation, testing, and commissioning of fiber-optic and wireless network infrastructure as detailed in the attached Scope of Work (Annexure A).
The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Telecommunications Engineering or a closely related discipline, possess at least eight (8) years of progressive experience in network infrastructure projects within the Gulf Cooperation Council (GCC) region, and hold valid professional certifications including but not limited to CCNP, JNCIA, or equivalent. The engineer must also be fully licensed to practice in Kuwait, Kuwait City, in compliance with the regulations set forth by the Kuwait Authority for Public Information (KAPI) and the Ministry of Electricity and Water.

All amounts are exclusive of 5% VAT as per Kuwaiti tax law. Applicable withholding tax of 15% shall be deducted at source as mandated by the Kuwait Tax Authority.
The Telecommunication Engineer shall be physically present and working at the designated project sites within Kuwait, Kuwait City for a minimum of five (5) working days per week, Monday through Friday, from 08:00 to 17:00 local time. The primary work location shall be the Al-Nakheel Central Operations Center, located at Block 2, Street 14, Salmiya District, Kuwait, Kuwait City. Additional field visits to exchange buildings, tower sites, and customer premises throughout Kuwait, Kuwait City shall be conducted as required by the project schedule. The Telecommunication Engineer is expected to comply with all local labor laws, safety regulations, and site-specific health and safety protocols enforced in Kuwait, Kuwait City.
- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Vendor upon countersignature. All terms herein shall be governed by the laws of the State of Kuwait.
- The Telecommunication Engineer shall remain an employee or contractor of the Vendor and shall not be deemed an employee of the Purchasing Entity. The Vendor shall be solely responsible for all salaries, benefits, social insurance contributions, and statutory obligations owed to the Telecommunication Engineer.
- Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice and a signed timesheet confirming the Telecommunication Engineer's presence and performance at the Kuwait, Kuwait City project site.
- The Vendor shall provide a replacement Telecommunication Engineer of equivalent or superior qualifications within fourteen (14) days should the originally assigned engineer become unavailable, resign, or fail to meet performance benchmarks.
- All intellectual property, design documents, network configurations, and technical data produced by the Telecommunication Engineer in the course of this engagement shall be the exclusive property of the Purchasing Entity.
- The Vendor shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for the Telecommunication Engineer throughout the project duration, with minimum coverage of KWD 500,000, valid in Kuwait, Kuwait City.
- Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent courts in Kuwait, Kuwait City.
- The Purchasing Entity reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, sustained underperformance, or force majeure conditions beyond the control of either party.
- The Telecommunication Engineer shall adhere to all confidentiality obligations and shall not disclose any proprietary network information, customer data, or operational details of the Purchasing Entity to any third party.
- All work performed under this Purchase Order shall comply with the technical standards and specifications issued by the Kuwait Telecommunications Regulatory Authority and applicable international standards (ITU-T, IEEE, ETSI).
This Purchase Order is issued and authorized by the undersigned on behalf of Al-Nakheel Telecommunications Infrastructure Co. W.L.L. The Vendor acknowledges receipt of this Purchase Order and confirms its acceptance of all terms, conditions, and the scope of work pertaining to the deployment of the Telecommunication Engineer in Kuwait, Kuwait City.
