1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by Myanmar Yangon Telecom Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to Global Telecom Solutions Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Telecommunication Engineer to provide specialized technical services for the design, installation, testing, and commissioning of fiber-optic and wireless network infrastructure within the Yangon metropolitan area of Myanmar. This Purchase Order constitutes a binding agreement between both parties and shall be governed by the commercial laws of the Republic of the Union of Myanmar, with supplementary reference to international trade standards where applicable.

The Telecommunication Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of documented professional experience in telecommunications network engineering, including but not limited to 5G/LTE base station deployment, submarine cable landing systems, microwave backhaul architecture, and IP-based core network design. The Engineer must hold a valid professional license recognized by the Myanmar Telecommunications Regulatory Body and must demonstrate proficiency in the specific technical standards mandated for all infrastructure projects located in Myanmar Yangon.

3. Terms and Conditions

3.1 Commencement and Duration: The services described in this Purchase Order shall commence on 1 August 2025 and shall be completed in accordance with the project milestones outlined in Annexure A. The Telecommunication Engineer shall be physically present at the designated project sites within Myanmar Yangon for a minimum of five (5) working days per week during active construction and commissioning phases.

3.2 Payment Terms: Payment shall be made in United States Dollars (USD) via international wire transfer to the Supplier's designated bank account. A 30% advance payment shall be due upon execution of this Purchase Order. The remaining 70% shall be disbursed in three equal installments upon completion of each major project phase, subject to written acceptance by the Buyer's project management team in Myanmar Yangon. All payments are subject to a 30-day credit period from the date of invoice issuance.

3.3 Regulatory Compliance: The Telecommunication Engineer shall ensure full compliance with all applicable regulations issued by the Myanmar Telecommunications Regulatory Body, the Ministry of Transport and Communications of Myanmar, and all local bylaws governing telecommunications infrastructure in the Yangon Region. All necessary permits, environmental impact assessments, and right-of-way clearances for work in Myanmar Yangon shall be obtained prior to the commencement of any physical installation activities.

3.4 Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of USD 2,000,000 per occurrence for the entire duration of this Purchase Order. The Telecommunication Engineer shall be covered under the Supplier's workers' compensation policy and shall comply with all occupational health and safety standards applicable in Myanmar Yangon.

3.5 Intellectual Property: All network designs, engineering drawings, configuration files, and technical documentation produced by the Telecommunication Engineer under this Purchase Order shall become the exclusive property of Myanmar Yangon Telecom Infrastructure Co., Ltd. upon full payment. The Supplier retains the right to use generic methodologies and pre-existing tools but shall not disclose any proprietary information specific to the Buyer's infrastructure.

3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Buyer without cause, the Supplier shall be compensated for all work completed and materials procured up to the date of termination. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice and shall be entitled to recover any damages incurred.

3.7 Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration in Yangon, Myanmar, in accordance with the rules of the Myanmar Arbitration Centre. The language of arbitration shall be English.

3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, civil unrest, or pandemics affecting operations in Myanmar Yangon or the Supplier's home jurisdiction.

4. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Telecommunication Engineer for telecommunications infrastructure projects in Myanmar Yangon.
