This Purchase Order is issued by Meridian Networks Infrastructure Ltd. to TransPacific Telecom Solutions (NZ) Ltd. for the engagement of a qualified Telecommunication Engineer to deliver specialised infrastructure design, deployment, and maintenance services across the New Zealand Auckland metropolitan region. The Telecommunication Engineer shall be responsible for the end-to-end delivery of fibre-optic network expansion, 5G small-cell installation, and legacy copper-to-fibre migration projects as outlined in the attached Statement of Work (SOW-TE-2025-114).
The Telecommunication Engineer must hold a minimum of a Bachelor's degree in Telecommunications Engineering or an equivalent qualification recognised by Engineers New Zealand, and must possess a valid New Zealand Engineering Council (ENZ) registration. All work shall be conducted in strict compliance with the New Zealand Electrical Code of Practice (AS/NZS 3000), the New Zealand Telecommunications Management Act 2003, and all applicable local bylaws of the Auckland Council.

The Telecommunication Engineer shall commence all project activities no later than 1 July 2025. All deliverables associated with this Purchase Order must be completed and certified within the New Zealand Auckland operational zone by 31 December 2025, unless otherwise agreed in writing by both parties. Milestone payments shall be released upon written acceptance of each phase by the Buyer's project manager.
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorised representatives.
- The Telecommunication Engineer engaged under this order must maintain full professional indemnity insurance of no less than NZD 10,000,000 and public liability insurance of no less than NZD 20,000,000 for the duration of the contract.
- All work performed in New Zealand Auckland must comply with the Health and Safety at Work Act 2015, the Resource Management Act 1991, and Auckland Council resource consent requirements where applicable.
- Payment terms: Net 30 days from the date of a valid tax invoice issued by the Seller. Late payments shall accrue interest at the rate prescribed under the Interest on Debts Act 1978.
- The Seller warrants that the Telecommunication Engineer assigned to this project shall not be simultaneously engaged on a competing project within the New Zealand Auckland region without prior written consent from the Buyer.
- Any variation to the scope, timeline, or pricing of this Purchase Order must be documented in a formal Variation Order signed by both parties before additional work commences.
- Disputes arising from this Purchase Order shall be resolved in accordance with the New Zealand Disputes Tribunal Act 2012 or, where the amount exceeds NZD 100,000, in the District Court of Auckland, New Zealand.
- The Seller shall provide a minimum 12-month warranty on all installed telecommunication infrastructure and workmanship delivered under this order.
- All intellectual property, design documents, network schematics, and as-built drawings produced by the Telecommunication Engineer in the course of this engagement shall vest in the Buyer upon full payment.
- This Purchase Order is governed by the laws of New Zealand. The venue for any legal proceedings shall be the courts of New Zealand Auckland.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer to deliver services within the New Zealand Auckland region.
