This Purchase Order is issued by Wellington Infrastructure & Networks Ltd. (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Telecommunication Engineer to be engaged on a full-time, fixed-term basis for the duration of the Wellington Metropolitan Fibre Upgrade Project. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and commissioning of fibre-optic and wireless telecommunication infrastructure across the New Zealand Wellington metropolitan region, including the central business district, the eastern suburbs, and the Hutt Valley corridor.

The scope of work for the Telecommunication Engineer includes, but is not limited to, the following deliverables:

  • Design and specification of 400 km of single-mode fibre-optic cable routes throughout New Zealand Wellington, ensuring compliance with NZS 3404 and local council infrastructure standards.
  • Supervision of civil works contractors during trenching, ducting, and cable-laying operations in the Wellington CBD and surrounding suburbs.
  • Configuration, testing, and certification of 120 new telecommunication exchange nodes and 350 street-level distribution cabinets.
  • Integration of 5G small-cell base stations at 45 designated locations across New Zealand Wellington, in coordination with local radio spectrum licensing authorities.
  • Preparation of as-built documentation, network topology diagrams, and commissioning reports for the Telecommunication Engineer project deliverables.
  • On-site supervision and quality assurance for a minimum of 18 months, commencing 1 August 2025 and concluding 28 January 2027.

Payment against this Purchase Order shall be made on a monthly basis, invoiced in arrears on the last working day of each calendar month. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. All payments shall be made via electronic funds transfer (EFT) to the Supplier's nominated New Zealand bank account. Late payments shall attract interest at the rate prescribed under the New Zealand Late Payment of Commercial Debts (Interest) Act 2002.

The engagement of the Telecommunication Engineer under this Purchase Order shall commence on 1 August 2025 and shall continue for a fixed term of eighteen (18) months, concluding on 28 January 2027, unless earlier terminated in accordance with Clause 8. All work shall be performed within the New Zealand Wellington metropolitan area and its immediate hinterland, as defined in the project boundary map attached hereto as Schedule A.

The Telecommunication Engineer assigned to this Purchase Order must hold a minimum of a Bachelor of Engineering (Telecommunications) or equivalent qualification recognised by Engineering New Zealand. The engineer must be a current member of the New Zealand Institute of Professional Engineers and Technologists (IPENZ) and must hold a valid New Zealand working visa or be a New Zealand citizen or permanent resident. All work must comply with the New Zealand Electrical Code of Practice, the Telecommunications Act 2001, and all applicable bylaws of the Wellington City Council and the Greater Wellington Regional Council.

The Supplier shall ensure that the Telecommunication Engineer and all associated personnel comply with the Health and Safety at Work Act 2015 (New Zealand). A site-specific risk assessment and method statement must be submitted to the Buyer's project manager prior to commencement of any fieldwork in New Zealand Wellington. The Supplier shall maintain a minimum of $10,000,000 in public liability insurance and $5,000,000 in professional indemnity insurance for the duration of this Purchase Order.

Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. The Buyer may terminate immediately upon written notice if the Telecommunication Engineer fails to meet the performance milestones outlined in Schedule B, or if the Supplier is in material breach of any term of this Purchase Order and fails to remedy such breach within fourteen (14) days of receiving written notice. Upon termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.

This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any dispute arising out of or in connection with this Purchase Order shall first be referred to mediation under the New Zealand Dispute Resolution Service. If mediation is unsuccessful, the dispute shall be referred to the District Court of New Zealand, Wellington, for resolution.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Telecommunication Engineer in New Zealand Wellington.
