1. Scope of Purchase OrderThis Purchase Order is issued by the Lagos Infrastructure Development Authority (hereinafter referred to as the "Buyer") to NexaTel Engineering Solutions Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Telecommunication Engineer to provide comprehensive design, installation, testing, and commissioning services for the fibre-optic backbone network and associated wireless infrastructure across the Nigeria Lagos metropolitan area. This Purchase Order governs all terms, conditions, deliverables, and financial obligations related to the procurement of the aforementioned Telecommunication Engineer services.

All payments under this Purchase Order shall be made in Nigerian Naira (NGN) via bank transfer to the Supplier's designated account. The payment schedule for the Telecommunication Engineer services is structured as follows:
- 20% Advance Payment (NGN 17,640,000): Payable within 14 calendar days of the Buyer's written acceptance of this Purchase Order and receipt of a valid Performance Bond from the Supplier.
- 30% Milestone Payment (NGN 26,460,000): Payable upon completion and Buyer's sign-off of the fibre-optic cable installation phase (Item 02) across all 12 districts in Nigeria Lagos.
- 30% Milestone Payment (NGN 26,460,000): Payable upon successful commissioning and testing of all 45 base station sites (Item 03) as verified by the Telecommunication Engineer's test reports.
- 20% Final Payment (NGN 17,640,000): Payable upon full project handover, submission of all as-built documentation, and commencement of the 12-month warranty period.
The Telecommunication Engineer shall commence all activities under this Purchase Order no later than 1 July 2025 at the designated project sites within Nigeria Lagos. The overall project duration shall not exceed 270 calendar days from the commencement date. All work shall be conducted in strict compliance with the Nigerian Communications Commission (NCC) regulations, the Lagos State Building Control and Road Authority (LASBCRA) guidelines, and applicable international telecommunication engineering standards (ITU-T, ETSI).
5. Terms and Conditions- The Telecommunication Engineer engaged under this Purchase Order must hold a valid professional registration with the Council for the Regulation of Engineering in Nigeria (COREN) and possess a minimum of ten (10) years of documented experience in fibre-optic and wireless telecommunication infrastructure projects.
- The Supplier shall provide a Performance Bond equivalent to 10% of the total Purchase Order value, issued by a Tier-1 Nigerian bank, prior to the release of the advance payment.
- All work performed by the Telecommunication Engineer in Nigeria Lagos shall be subject to inspection and approval by the Buyer's appointed project manager. No milestone payment shall be released without a written Certificate of Completion signed by both parties.
- The Supplier shall maintain comprehensive third-party liability insurance and professional indemnity insurance throughout the duration of this Purchase Order, with minimum coverage of NGN 500,000,000.
- Any variation to the scope of work described in this Purchase Order must be agreed upon in writing by both parties before execution. Verbal instructions shall not constitute a valid amendment to this Purchase Order.
- In the event of a dispute arising from this Purchase Order, both parties shall first attempt resolution through mediation in Nigeria Lagos. Should mediation fail, the matter shall be referred to arbitration under the rules of the Lagos Court of Arbitration.
- The Supplier shall comply with all applicable Nigerian labour laws, including the minimum wage provisions of the Lagos State Government, for all personnel deployed under this Purchase Order.
- Confidentiality: All network design documents, security protocols, and operational data generated by the Telecommunication Engineer in the course of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the Buyer's prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Telecommunication Engineer services in Nigeria Lagos.
