This Purchase Order is issued by Moscow Telecommunications Infrastructure Group LLC (hereinafter referred to as the "Buyer") to Global Telecom Solutions International Ltd. (hereinafter referred to as the "Supplier") for the provision of specialized Telecommunication Engineer services in Russia Moscow. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and maintenance of fiber-optic and wireless communication networks across the Moscow metropolitan area and its surrounding districts.

The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of eight (8) years of professional experience in telecommunications infrastructure, possess a valid certification from the Russian Telecommunications Certification Board (RTCB), and demonstrate proven expertise in 5G network deployment, SD-WAN architecture, and subsea cable landing systems. The Telecommunication Engineer shall operate primarily from the Buyer's headquarters located in Russia Moscow, with occasional site visits to regional substations and exchange nodes throughout the Moscow Oblast.

All prices are stated in Russian Rubles (RUB) and are inclusive of applicable Value Added Tax (VAT) at the rate of 20% as per the Tax Code of the Russian Federation. Prices are fixed for the duration of the contract term specified in Section 5.

All services under this Purchase Order shall be performed in Russia Moscow. The primary operational base for the Telecommunication Engineer team shall be the Buyer's facility at 12, Tverskaya Street, Building 4, Moscow, 125009, Russian Federation. Fieldwork, site inspections, and equipment installations shall be conducted at various locations throughout the Moscow city limits and the Moscow Oblast as directed by the Buyer's Project Management Office. The Supplier shall ensure that all Telecommunication Engineers are in possession of valid work permits, professional liability insurance, and safety certifications required for operations in Russia Moscow as mandated by local and federal regulations.

This Purchase Order shall become effective upon mutual signature by both parties. The initial contract term for the Telecommunication Engineer engagement shall be twelve (12) months, commencing on 1 July 2025 and expiring on 30 June 2026. The contract may be extended for successive periods of six (6) months upon written agreement of both parties, provided that no material breach of this Purchase Order has occurred. The Telecommunication Engineer services shall commence no later than 1 July 2025, and the Supplier shall ensure full staffing of all positions listed in Section 3 within fourteen (14) calendar days of the commencement date.

Payment for the Telecommunication Engineer services shall be made on a monthly basis. The Supplier shall submit a detailed invoice to the Buyer's Accounts Payable department by the 5th business day of each month, covering services rendered in the preceding calendar month. Payment shall be processed via bank transfer to the Supplier's designated account within fifteen (15) business days of receipt of a valid and approved invoice. Late payments shall accrue interest at the rate of 0.05% per calendar day on the outstanding amount, in accordance with Article 317.1 of the Civil Code of the Russian Federation. The Buyer reserves the right to withhold payment for any portion of services that do not meet the quality standards and performance benchmarks outlined in the attached Service Level Agreement (SLA), which forms an integral part of this Purchase Order.

The Supplier and all Telecommunication Engineers engaged under this Purchase Order shall comply with all applicable federal and regional laws of the Russian Federation, including but not limited to the Federal Law "On Communications" (No. 126-FZ), the regulations of Roskomnadzor, and the data protection requirements under Federal Law "On Personal Data" (No. 152-FZ). All Telecommunication Engineers operating in Russia Moscow shall be subject to background checks, security clearances, and mandatory professional development training as required by the Buyer's internal compliance policies. The Supplier warrants that all Telecommunication Engineers shall be duly employed, insured, and in full compliance with labor legislation of the Russian Federation. Any violation of regulatory requirements shall constitute a material breach of this Purchase Order, entitling the Buyer to terminate the agreement immediately without penalty.

All network designs, engineering documentation, configuration files, and technical reports produced by the Telecommunication Engineer team in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer. The Supplier and its Telecommunication Engineers shall maintain strict confidentiality regarding all proprietary information, network topologies, customer data, and operational details of the Buyer's telecommunications infrastructure in Russia Moscow. This confidentiality obligation shall survive the termination or expiration of this Purchase Order for a period of five (5) years.

Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of a material breach by the other party that remains uncured within the notice period. Disputes arising from or in connection with this Purchase Order shall be resolved through negotiation, and failing that, through arbitration in accordance with the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Russia, seated in Moscow. The governing law of this Purchase Order shall be the law of the Russian Federation.
