This Purchase Order is issued by Northern Telecom Infrastructure JSC (hereinafter referred to as the "Buyer") to formally procure the professional services of a qualified Telecommunication Engineer for deployment and operational support at the Buyer's network facilities located in Russia Saint Petersburg. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier, Baltic Engineering Solutions LLC (hereinafter referred to as the "Supplier"), for the provision of specialized telecommunication engineering services as detailed herein. All terms, conditions, deliverables, and payment obligations set forth in this Purchase Order shall govern the engagement of the Telecommunication Engineer throughout the contract period in the Russia Saint Petersburg metropolitan area.

The Supplier shall provide the Buyer with a fully certified Telecommunication Engineer possessing a minimum of eight (8) years of progressive experience in the design, installation, testing, and maintenance of fiber-optic networks, microwave transmission systems, and 5G/4G cellular infrastructure. The Telecommunication Engineer shall be responsible for the following duties while stationed in Russia Saint Petersburg:

All services under this Purchase Order shall be performed exclusively within the administrative boundaries of Russia Saint Petersburg and its immediate suburban districts, including but not limited to the Vasilyevsky Island district, the Krestovsky Island telecommunications hub, and the Pulkovo Airport fiber backbone corridor. The Telecommunication Engineer shall report to the Buyer's primary operations center situated at 44 Liteyny Avenue, Saint Petersburg, Russia, and shall maintain a minimum on-site presence of five (5) working days per week at the designated Russia Saint Petersburg facilities. Travel to remote test sites within the Leningrad Oblast region, as required for field validation of network equipment, shall be pre-approved in writing by the Buyer's Project Director.

The Telecommunication Engineer assigned under this Purchase Order must hold, at minimum, the following credentials and certifications:

• A Bachelor's or Master's degree in Telecommunications Engineering, Electrical Engineering, or a directly related discipline from an accredited Russian or internationally recognized university.
• Active professional certification from Huawei, Ericsson, Nokia, or Cisco in the relevant network technology domain.
• Demonstrated proficiency with the Russian Federal Law No. 149-FZ "On Information, Information Technologies and Protection of Information" and all applicable Roskomnadzor regulatory requirements specific to Russia Saint Petersburg telecommunications operations.
• Valid work authorization or employment registration compliant with the Federal Law of the Russian Federation on the Legal Status of Foreign Citizens, should the Telecommunication Engineer be a non-Russian national.
• Fluency in the Russian language for all technical documentation, regulatory filings, and on-site coordination within Russia Saint Petersburg.

Payment for services rendered under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account at Sberbank, Saint Petersburg branch. Invoices shall be submitted by the Supplier on the last business day of each calendar month, and payment shall be processed within thirty (30) calendar days of invoice receipt. A late payment penalty of 0.05% per calendar day shall apply to any overdue amounts. The total contract value of this Purchase Order is 19,920,000 RUB (nineteen million nine hundred twenty thousand Russian Rubles), inclusive of all applicable taxes. Value Added Tax (VAT) at the standard Russian rate of 20% shall be applied as per the Tax Code of the Russian Federation and itemized separately on each invoice.

The Telecommunication Engineer shall adhere to the performance standards outlined in Annex A of this Purchase Order, which include network uptime targets of no less than 99.95% for all fiber-optic and cellular infrastructure managed in Russia Saint Petersburg. Monthly performance reports shall be submitted to the Buyer's Quality Assurance department. Failure to meet the stipulated service-level agreements for two (2) consecutive months shall entitle the Buyer to issue a formal notice of non-compliance, and persistent failure for three (3) consecutive months shall constitute grounds for termination of this Purchase Order without penalty to the Buyer.

The Telecommunication Engineer shall be bound by a strict confidentiality agreement covering all network architectures, customer data, proprietary protocols, and operational procedures encountered during the course of duties in Russia Saint Petersburg. All technical documentation, design schematics, and configuration files produced under this Purchase Order shall remain the exclusive intellectual property of the Buyer. The Supplier and the Telecommunication Engineer shall not disclose, reproduce, or transmit any confidential information to third parties without prior written consent from the Buyer's Legal Department.

Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of force majeure, including but not limited to natural disasters, government-mandated shutdowns, or regulatory changes specific to telecommunications operations in Russia Saint Petersburg, the affected party shall notify the other within five (5) business days. Obligations under this Purchase Order shall be suspended for the duration of the force majeure event, and the contract timeline shall be extended accordingly.

This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and all applicable federal and municipal regulations pertaining to telecommunications services in Russia Saint Petersburg. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast, in accordance with the procedural rules of the Russian Federation.
