This Purchase Order is issued by Société Africaine des Télécommunications S.A. (hereinafter referred to as the "Buyer") to Global Telecom Solutions Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Telecommunication Engineer to provide specialized technical services in the Senegal Dakar metropolitan area and its surrounding regions. The Telecommunication Engineer shall be responsible for the design, deployment, commissioning, and ongoing maintenance of fiber-optic backbone infrastructure, 4G/5G cellular base stations, and associated network equipment across the Dakar urban corridor, including the districts of Plateau, Almadies, Ngor, Ouakam, and Pikine.
The scope of work assigned to the Telecommunication Engineer under this Purchase Order encompasses, but is not limited to, the following activities:
- Site surveys and feasibility assessments for new Telecommunication Engineer installations across Senegal Dakar.
- Design and engineering of microwave and fiber-optic transmission links connecting the Buyer's central switching office in Dakar to regional distribution hubs.
- Supervision of civil works, tower erection, and antenna alignment for the Telecommunication Engineer's assigned sectors.
- Configuration, testing, and certification of all radio access network (RAN) equipment and core network elements.
- Preparation of as-built documentation, network topology diagrams, and performance benchmarking reports.
- On-site troubleshooting and corrective maintenance for a minimum of twelve (12) months following commissioning.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, particularly the Senegalese Code of Public Procurement and applicable telecommunications regulatory provisions issued by the Autorité de Régulation des Télécommunications et des Postes (ARTP) of Senegal Dakar.
- Commencement: The Telecommunication Engineer shall report to the Buyer's project office in Senegal Dakar no later than 21 June 2025. Any delay beyond this date shall attract a penalty of 0.5% of the monthly fee per calendar day of delay, capped at 10% of the total contract value.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice from the Supplier. The Buyer shall retain 10% of each monthly payment as a performance guarantee, to be released upon satisfactory completion of the Maintenance & Support Phase. All payments shall be made in XOF via bank transfer to the Supplier's designated account.
- Qualifications: The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Telecommunications Engineering or a related discipline, possess at least fifteen (15) years of progressive experience in African telecom infrastructure projects, and hold valid certifications from recognized bodies (e.g., Huawei, Ericsson, Nokia, or equivalent). A copy of the CV and certifications must be submitted to the Buyer prior to arrival in Senegal Dakar.
- Work Permits and Visas: The Supplier shall be responsible for obtaining all necessary work permits, residence visas, and professional registrations required for the Telecommunication Engineer to legally perform services in Senegal Dakar. The Buyer shall provide all supporting documentation and letters of invitation.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance, personal accident insurance, and medical evacuation coverage for the Telecommunication Engineer for the full duration of this Purchase Order, with minimum coverage of USD 1,000,000 per occurrence.
- Intellectual Property: All designs, reports, as-built drawings, and technical documentation produced by the Telecommunication Engineer in the course of executing this Purchase Order in Senegal Dakar shall become the exclusive property of the Buyer upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Buyer, the Supplier shall be compensated for all services rendered up to the termination date plus reasonable demobilization costs. In the event of termination for cause (material breach, failure to meet performance KPIs), no further payment shall be due beyond the date of breach.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in Dakar, Senegal, in accordance with the rules of the Centre Arbitral de Dakar (CAD). The language of arbitration shall be French, with English translations provided for all technical documents.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or epidemics affecting Senegal Dakar. The affected party must notify the other within five (5) business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Telecommunication Engineer in Senegal Dakar. This document constitutes a binding agreement upon execution by both authorized signatories.
