This Purchase Order is issued by Meridian Infrastructure Solutions Pte Ltd (hereinafter referred to as the "Purchaser") to Apex Telecommunications Consulting Pte Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Telecommunication Engineer to provide specialized technical services for the design, deployment, and commissioning of a fibre-optic network infrastructure project located in the Jurong Industrial Estate, Singapore Singapore. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements related to the professional services rendered by the Telecommunication Engineer under this engagement.

All services under this Purchase Order shall be performed at the designated project site located in the Jurong Industrial Estate, Singapore Singapore. The Telecommunication Engineer assigned to this project must hold a valid Professional Engineer (PE) registration with the Professional Engineers Board (PEB) of Singapore Singapore and possess a minimum of ten (10) years of hands-on experience in telecommunications infrastructure, with particular expertise in passive optical network (PON) architectures, single-mode and multi-mode fibre systems, and 5G backhaul connectivity solutions. The Telecommunication Engineer must also comply with all applicable regulations set forth by the Infocomm Media Development Authority (IMDA) of Singapore Singapore.

• Payment Schedule: Payment shall be made in three (3) milestones: 30% upon acceptance of this Purchase Order, 40% upon completion of site survey and network design approval, and 30% upon final commissioning and handover.
• Payment Method: Bank transfer to the Supplier's designated account. All payments shall be denominated in Singapore Dollars (SGD).
• Payment Terms: Net 30 days from the date of invoice submission, subject to satisfactory verification of deliverables by the Purchaser's project management team.
• Withholding: The Purchaser reserves the right to withhold up to 10% of each milestone payment as a performance security deposit, to be released upon successful completion of the 3-month warranty period.

• 5.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Singapore Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
• 5.2 The Telecommunication Engineer engaged under this Purchase Order shall be solely responsible for ensuring that all work complies with the Singapore Standards (SS) for telecommunications infrastructure, including SS 592:2019 for optical fibre cabling and SS 638:2021 for network equipment installation.
• 5.3 The Supplier shall provide the Purchaser with a detailed project timeline within seven (7) calendar days of this Purchase Order's acceptance. Any delays attributable to the Telecommunication Engineer shall incur a penalty of 0.5% of the total contract value per calendar day of delay, capped at 10% of the total contract value.
• 5.4 The Supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of SGD 2,000,000 and public liability insurance of SGD 1,000,000 for the duration of the project in Singapore Singapore.
• 5.5 All intellectual property, design documents, as-built drawings, and technical reports produced by the Telecommunication Engineer in the course of this engagement shall become the sole property of the Purchaser upon full payment.
• 5.6 The Supplier shall ensure that the Telecommunication Engineer adheres to all occupational safety and health requirements as mandated by the Workplace Safety and Health (WSH) Act of Singapore Singapore, including but not limited to confined space entry protocols and electrical safety standards.
• 5.7 This Purchase Order may be amended only by mutual written agreement between both parties. No verbal modifications shall be binding.
• 5.8 The Supplier shall not subcontract any portion of the Telecommunication Engineer services without prior written consent from the Purchaser.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order. The Supplier confirms that the Telecommunication Engineer identified herein meets all qualification requirements and is available for the duration of the project in Singapore Singapore.
