(hereinafter referred to as the "Buyer") to Global Telecom Solutions Consulting S.L. (hereinafter referred to as the "Seller") for the provision of a qualified Telecommunication Engineer to be deployed and performing professional duties within the city of Spain Barcelona. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the Buyer's telecommunications infrastructure, including but not limited to fiber-optic network deployments, 5G base station installations, VoIP system configurations, and broadband connectivity solutions across the metropolitan area of Spain Barcelona.
The Telecommunication Engineer must hold a minimum of a Bachelor's degree in Telecommunications Engineering (Ingeniería de Telecomunicaciones) or an equivalent qualification recognized by the Spanish Ministry of Education. Additionally, the Telecommunication Engineer is required to possess at least five (5) years of documented professional experience in the telecommunications sector, with a demonstrated track record of successful project delivery in urban environments comparable to Spain Barcelona. The Telecommunication Engineer must be fluent in both Spanish and English to facilitate effective communication with local municipal authorities, regulatory bodies, and the Buyer's multidisciplinary project teams stationed in Spain Barcelona.
2. SCOPE OF WORK AND DELIVERABLESThe Telecommunication Engineer engaged under this Purchase Order shall perform the following duties at the Buyer's operational facilities and client sites located throughout Spain Barcelona:
- Conduct comprehensive site surveys and feasibility assessments for new telecommunications infrastructure projects in the districts of Spain Barcelona, including Eixample, Gràcia, Sants-Montjuïc, and Horta-Guinardó.
- Prepare detailed technical specifications, engineering drawings, and network topology diagrams for all telecommunications systems to be installed or upgraded.
- Oversee the installation and commissioning of fiber-optic cable networks, microwave transmission links, and cellular base stations in compliance with the regulatory framework established by the Spanish Telecommunications Act (Ley General de Telecomunicaciones, Ley 11/2022) and the applicable municipal ordinances of Spain Barcelona.
- Perform routine and preventive maintenance on all existing telecommunications equipment and infrastructure managed by the Buyer within the Spain Barcelona operational zone.
- Coordinate with the Spanish National Telecommunications Agency (Agencia Española de Telecomunicaciones, AET) and the Barcelona City Council's urban planning department to obtain all necessary permits, licenses, and regulatory approvals for telecommunications works in Spain Barcelona.
- Provide monthly progress reports, incident logs, and performance metrics to the Buyer's Project Management Office.
- Ensure full compliance with all occupational health and safety regulations applicable to telecommunications engineering work in Spain, including the Spanish Occupational Risk Prevention Law (Ley 31/1995).
The engagement of the Telecommunication Engineer under this Purchase Order shall commence on 1 July 2025 and shall continue for an initial period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement of both parties. The Telecommunication Engineer is expected to work a standard schedule of forty (40) hours per week, Monday through Friday, from 08:00 to 17:00, with a one-hour unpaid lunch break, in accordance with the collective bargaining agreements applicable to the telecommunications sector in Spain Barcelona. Overtime work, if required due to project urgency or emergency maintenance, shall be compensated at the rates specified in Section 5 of this Purchase Order.
4. LOCATION AND WORKING CONDITIONSAll professional services rendered by the Telecommunication Engineer under this Purchase Order shall be performed at the Buyer's headquarters located at Av. Diagonal 620, 08021 Barcelona, Spain, and at such other project sites within the municipality of Spain Barcelona as may be designated by the Buyer's Project Management Office. The Buyer shall provide the Telecommunication Engineer with all necessary personal protective equipment (PPE), access credentials, transportation between project sites within Spain Barcelona, and a dedicated workstation equipped with the software tools required for telecommunications engineering tasks. The Telecommunication Engineer shall be subject to the Buyer's internal policies, code of conduct, and site-specific safety protocols while working in Spain Barcelona.

Payment shall be made on a monthly basis within thirty (30) calendar days from the date of receipt of a valid invoice from the Seller. All payments shall be processed via bank transfer to the Seller's designated account in a Spanish financial institution. The Buyer reserves the right to withhold up to ten percent (10%) of each monthly payment as a performance guarantee, to be released upon satisfactory completion of the full contract term or upon resolution of any outstanding quality issues identified during the Telecommunication Engineer's work in Spain Barcelona.
6. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Spanish Civil Code and the Spanish Commercial Code. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- Confidentiality: The Telecommunication Engineer shall be bound by a strict confidentiality agreement covering all proprietary network designs, client data, and operational information encountered during the course of work in Spain Barcelona. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Insurance: The Seller shall maintain, at its own expense, comprehensive professional liability insurance and workers' compensation coverage in accordance with Spanish labor law for the duration of the Telecommunication Engineer's engagement in Spain Barcelona.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations up to the date of termination.

- Compliance: The Seller warrants that the Telecommunication Engineer shall comply with all applicable Spanish and European Union telecommunications regulations, data protection laws (including the GDPR and the Spanish Organic Law 3/2018 on Data Protection), and local municipal bylaws of Spain Barcelona throughout the term of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer in Spain Barcelona.
