This Purchase Order is issued by Valencia Telecom Infrastructure S.L. to formally engage the services of a qualified Telecommunication Engineer for the design, deployment, and commissioning of a next-generation fibre-optic and 5G hybrid network infrastructure across the Spain Valencia metropolitan area. The scope of work defined under this Purchase Order encompasses all technical planning, field installation, signal testing, regulatory compliance verification, and final handover documentation required to bring the network to full operational capacity within the Valencia province.
The Telecommunication Engineer engaged under this Purchase Order shall be responsible for ensuring that all network components comply with the current Spanish telecommunications regulatory framework as established by the Agencia Española de Infraestructuras Digitales (AEID) and the European Union's Electronic Communications Code. The Telecommunication Engineer shall commence all activities under this Purchase Order no later than 1 July 2025 at the primary project site located at the Valencia Telecom Infrastructure S.L. headquarters, Av. del Puerto, 142, Valencia, Spain. All fieldwork shall be conducted within the administrative boundaries of the Spain Valencia region, specifically covering the municipalities of Valencia, Paterna, Torrent, Mislata, and Burjassot. The Telecommunication Engineer is expected to maintain a minimum on-site presence of five (5) working days per week during the active installation phase, which is projected to last approximately fourteen (14) weeks from the commencement date.
Payment under this Purchase Order shall be made in three (3) instalments via bank transfer to the account designated by the Telecommunication Engineer:

All payments are subject to the receipt of a valid invoice from the Telecommunication Engineer. Late payments shall accrue interest at the rate established by the Spanish Ley 3/2004 on late payment in commercial transactions.
- This Purchase Order constitutes a binding agreement between the parties upon signature. Any amendments to scope, timeline, or pricing must be documented in a written addendum signed by both the Buyer and the Telecommunication Engineer.
- The Telecommunication Engineer warrants that all work performed under this Purchase Order shall meet or exceed the technical standards set forth by the AEID, the European Telecommunications Standards Institute (ETSI), and the applicable Spain Valencia municipal urban planning regulations.
- The Telecommunication Engineer shall maintain valid professional indemnity insurance with a minimum coverage of EUR 1,000,000 for the entire duration of the contract and the 12-month warranty period. Proof of insurance shall be provided prior to commencement.
- All intellectual property, network schematics, configuration files, and documentation produced under this Purchase Order shall become the exclusive property of Valencia Telecom Infrastructure S.L. upon full payment.
- The Telecommunication Engineer shall comply with all applicable Spanish labour and safety regulations, including the Ley de Prevención de Riesgos Laborales (Ley 31/1995), and shall ensure that all fieldwork in the Spain Valencia area is conducted in full compliance with local occupational health and safety requirements.
- In the event of force majeure, either party may suspend obligations under this Purchase Order with written notice. The affected period shall be excluded from the project timeline.
- Disputes arising from this Purchase Order shall be resolved through mediation in Valencia, Spain, in accordance with the Ley de Arbitraje. If mediation fails, the competent courts of Valencia, Spain, shall have exclusive jurisdiction.
- This Purchase Order is governed by the laws of the Kingdom of Spain. The Telecommunication Engineer acknowledges that all professional activities shall be registered with the Colegio Oficial de Ingenieros de Telecomunicación de la Comunidad Valenciana (COITCV).
