This Purchase Order is issued by Northbridge Infrastructure Solutions Ltd. (hereinafter referred to as the "Purchaser") to Apex Telecommunications Engineering Group Ltd. (hereinafter referred to as the "Supplier") for the provision of a qualified Telecommunication Engineer to deliver a comprehensive suite of telecommunications infrastructure design, installation, testing, and commissioning services. The engagement is specifically scoped for the Manchester metropolitan area within the United Kingdom Manchester region, encompassing the Greater Manchester Local Enterprise Partnership zone.
The Telecommunication Engineer shall be a Chartered Engineer (CEng) registered with the Engineering Council, holding a minimum of ten (10) years of demonstrable experience in fibre-optic network deployment, 5G small-cell installation, microwave backhaul configuration, and enterprise-grade structured cabling systems. The Engineer must possess valid UK right-to-work documentation and hold a current CSCS (Construction Skills Certification Scheme) card with a Telecommunications Trade card.

The Telecommunication Engineer shall commence all works no later than 1 September 2025. The full scope of services described in Section 3 of this Purchase Order must be completed, tested, and handed over to the Purchaser no later than 30 November 2025. Any anticipated delays must be communicated in writing to the Purchaser's procurement department no fewer than five (5) working days in advance, accompanied by a revised programme of works.
- Payment shall be made in monthly instalments based on certified progress invoices submitted by the 25th of each calendar month.
- Each invoice must reference this Purchase Order number (PO-2025-MAN-TEC-0472) and include a detailed breakdown of days worked, site locations within the United Kingdom Manchester area, and any associated material costs.
- Payment terms are Net 30 days from the date of receipt of a valid invoice at the Purchaser's registered office in Manchester.
- A retention of 10% shall be withheld from each progress payment and released in full upon final acceptance and sign-off of all deliverables by the Purchaser's project director.
- All payments shall be made via BACS transfer to the Supplier's nominated bank account in the United Kingdom.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales.
- The Telecommunication Engineer must comply with all applicable UK telecommunications regulations, including those issued by Ofcom, the Health and Safety Executive (HSE), and the relevant local planning authority for the City of Manchester and the wider Greater Manchester area.
- The Supplier shall maintain a minimum of £5,000,000 in professional indemnity insurance and £10,000,000 in public liability insurance throughout the duration of this Purchase Order.
- All work performed in the United Kingdom Manchester area must adhere to BS EN 50174 (Data Centre Cabling), BS 7671 (IET Wiring Regulations), and BS 8209 (Fibre Optic Cabling) standards.
- The Supplier warrants that the Telecommunication Engineer assigned to this Purchase Order shall not be seconded or substituted without prior written consent from the Purchaser.
- Any variation to the scope of work must be agreed in writing via a formal Variation Order and shall not alter the total Purchase Order value by more than 15% without re-tendering.
- Disputes arising from this Purchase Order shall be resolved through mediation in Manchester, United Kingdom, before any escalation to the courts of England and Wales.
- The Supplier shall provide a twelve (12) month defect liability period from the date of final acceptance, during which any faults in the telecommunications infrastructure shall be rectified at no additional cost to the Purchaser.
The Telecommunication Engineer and all supporting personnel must hold valid first-aid certification, working-at-height qualifications (IRATA or equivalent), and confined-space entry training. A site-specific Risk Assessment and Method Statement (RAMS) must be submitted to the Purchaser's HSE team no later than 72 hours prior to commencement at each United Kingdom Manchester work location. The Supplier shall comply with the Construction (Design and Management) Regulations 2015 (CDM 2015) and all applicable environmental permits for works conducted within the Manchester urban area.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the provision of Telecommunication Engineer services within the United Kingdom Manchester region.
