Scope of Work and Description of ServicesThis Purchase Order is issued by Meridian Network Solutions, Inc. to formally request and authorize the procurement of specialized professional services rendered by a qualified Telecommunication Engineer operating within the metropolitan area of United States Los Angeles. The services described herein are intended to support the design, implementation, testing, and ongoing maintenance of a next-generation fiber-optic and wireless broadband network infrastructure serving the greater Los Angeles metropolitan region, including but not limited to the districts of Downtown Los Angeles, Culver City, West Hollywood, and the San Fernando Valley corridor.
The Telecommunication Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of documented professional experience in telecommunications network architecture, RF spectrum management, and 5G/6G cellular infrastructure deployment. The engineer must hold a valid California Professional Engineer (P.E.) license in the discipline of Electrical or Telecommunications Engineering, issued by the California Board for Professional Engineers, Land Surveyors, and Geologists, and must maintain current certification from the Telecommunications Industry Association (TIA) or the National Association of Broadcasters (NAB).

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and applicable federal telecommunications regulations, including those administered by the Federal Communications Commission (FCC). All disputes arising under this Purchase Order shall be resolved through binding arbitration in the city of Los Angeles, United States, in accordance with the rules of the American Arbitration Association.
- Payment Terms: Payment shall be made net forty-five (45) days from the date of receipt of a valid invoice. Invoices must reference this Purchase Order number (LA-TEC-2025-04872) and include a detailed time-and-materials breakdown for each Telecommunication Engineer work session. Late payments shall accrue interest at a rate of 1.5% per month.
- Performance Schedule: The Telecommunication Engineer shall commence work no later than July 1, 2025, and shall complete all design, deployment, and commissioning activities by no later than March 31, 2026. The twelve-month maintenance retainer period shall commence upon final acceptance of the completed network infrastructure.
- Insurance and Liability: The supplier shall maintain, at its own expense, comprehensive general liability insurance of not less than $2,000,000 per occurrence, professional liability (errors and omissions) insurance of not less than $5,000,000, and workers' compensation insurance as required by California Labor Code. All insurance policies shall name Meridian Network Solutions, Inc. as an additional insured party.
- Intellectual Property: All network designs, engineering drawings, configuration files, and technical documentation produced by the Telecommunication Engineer in the performance of this Purchase Order shall be the sole and exclusive property of Meridian Network Solutions, Inc. upon full payment of the contract value.
- Compliance with Local Regulations: The Telecommunication Engineer shall ensure full compliance with all applicable building codes, zoning ordinances, and telecommunications regulations enacted by the City of Los Angeles, the County of Los Angeles, and the State of California. This includes adherence to the Los Angeles Municipal Code Title 17 (Zoning) and all CPUC general orders pertaining to telecommunications infrastructure.
- Termination: Either party may terminate this Purchase Order upon thirty (30) days' written notice. In the event of termination for convenience, the purchaser shall compensate the supplier for all work performed and documented expenses incurred up to the effective date of termination.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary network architectures, customer data, and business strategies disclosed during the course of this engagement. This obligation shall survive the expiration or termination of this Purchase Order for a period of five (5) years.
- Non-Assignment: The supplier shall not assign or subcontract any portion of the Telecommunication Engineer services contemplated by this Purchase Order without the prior written consent of the purchaser.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Telecommunication Engineer professional services in the United States Los Angeles area, effective as of the date of the last signature below.
