All services under this Purchase Order shall be performed exclusively within the United States San Francisco city limits, including but not limited to the neighborhoods of SoMa, the Mission District, the Financial District, the Richmond District, and the Sunset District. The Telecommunication Engineer shall maintain a primary operational base at the buyer's headquarters located at 1450 Market Street, San Francisco, CA 94102, and shall be available for on-site visits at any of the twelve (12) designated locations listed in Appendix A of this Purchase Order. Travel beyond the United States San Francisco municipal boundary shall require prior written approval from the buyer's procurement office and will be billed at cost plus a fifteen percent (15%) administrative surcharge.
- Payment shall be made via ACH wire transfer to the seller's designated bank account within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-SF-TE-04872).
- For the 24/7 on-call retainer (Item 004), monthly invoices shall be submitted by the fifth (5th) business day of the following month. No service shall be deemed rendered until the Telecommunication Engineer has responded to a dispatched call within the contractual response window of four (4) hours.
- A ten percent (10%) retention shall be withheld from each milestone payment until final acceptance of the corresponding deliverable by the buyer's Chief Technology Officer.
- All amounts are stated in United States Dollars (USD). Applicable California state sales tax and San Francisco city business tax, if any, shall be added to the invoiced amount as required by law.
- Late payments shall accrue interest at a rate of one and one-half percent (1.5%) per month or the maximum rate permitted under California Civil Code Section 3289, whichever is lower.
- Qualification of Telecommunication Engineer: The seller warrants that the Telecommunication Engineer assigned to this Purchase Order shall hold an active California PE license (Electrical/Telecommunications), a valid FCC General Radiotelephone Operator License (GROL), and shall maintain professional liability insurance of no less than $2,000,000 per occurrence. Proof of licensure and insurance shall be provided prior to commencement of work.
- Compliance with Local Regulations: All work performed in United States San Francisco shall comply with the San Francisco Building Code, the San Francisco Communications Infrastructure Plan, and all applicable Federal Communications Commission (FCC) regulations. The Telecommunication Engineer is responsible for obtaining any required city permits, right-of-way variances, or utility easement agreements prior to commencing physical installation work.
- Intellectual Property: All network designs, schematics, test reports, and documentation produced by the Telecommunication Engineer under this Purchase Order shall be the sole property of the buyer upon full payment. The seller retains no right to reuse proprietary designs for third-party clients without written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding network topology, security protocols, and client data encountered during the course of this engagement. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the buyer shall pay for all services rendered and materials procured up to the date of termination. In the event of termination for cause (material breach), the non-breaching party shall be entitled to full compensation for damages.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of the City and County of San Francisco, United States.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, earthquakes (as relevant to the United States San Francisco seismic zone), government-mandated shutdowns, or pandemics.
