- Scope of Engagement: This Purchase Order authorises LinguaBridge Professional Services to provide qualified Translator Interpreter services to Meridian Corporate Services Pty Ltd. All Translator Interpreter personnel assigned under this Purchase Order must hold current NAATI (National Accreditation Authority for Translators and Interpreters) certification or equivalent accreditation recognised in Australia Sydney and the broader New South Wales jurisdiction.
- Service Delivery Location: Unless otherwise specified in the line items above, all on-site Translator Interpreter engagements shall be conducted at the buyer's premises located in Australia Sydney, NSW 2000. Remote Translator Interpreter sessions shall be conducted via encrypted video conferencing platforms approved by the buyer's IT security team, with the Translator Interpreter physically located within Australia Sydney or its metropolitan area.
- Quality Assurance: The supplier warrants that every Translator Interpreter deployed under this Purchase Order shall possess a minimum of five (5) years of professional experience in the specified language pair. The supplier shall provide the buyer with CVs, certification copies, and references for each Translator Interpreter prior to their first assignment in Australia Sydney.
- Confidentiality and NDA: All Translator Interpreter personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work under this Purchase Order. All documents, recordings, and verbal communications handled by the Translator Interpreter in Australia Sydney shall be treated as strictly confidential and shall not be disclosed to any third party without written consent from the buyer.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding month. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. All payments shall be made in Australian Dollars (AUD) via electronic funds transfer to the supplier's nominated bank account in Australia Sydney.
- Cancellation and Scheduling: The buyer may reschedule or cancel individual Translator Interpreter sessions with a minimum of forty-eight (48) hours' written notice. Cancellations made within forty-eight (48) hours of the scheduled session shall be subject to a 50% fee for the booked hours. The overall Purchase Order may be terminated by either party with thirty (30) days' written notice.
- Compliance with Australian Law: The supplier and all Translator Interpreter personnel shall comply with all applicable Australian federal and New South Wales state legislation, including but not limited to the Privacy Act 1988 (Cth), the Fair Work Act 2009 (Cth), and any relevant Australia Sydney local government regulations governing professional services.
- Insurance: The supplier shall maintain, at its own cost, professional indemnity insurance of no less than AUD $5,000,000 and public liability insurance of no less than AUD $10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided upon request.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to mediation in Australia Sydney under the rules of the Australian Dispute Resolution Centre. If mediation fails, the matter shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia Sydney.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government-imposed restrictions in Australia Sydney, or acts of war.
