This Purchase Order is issued by Meridian Global Logistics & Trade Co. (hereinafter referred to as the Buyer) to formally engage the services of Alexandria Linguistic Solutions Ltd. (hereinafter referred to as the Supplier) for the provision of a certified Translator Interpreter to be deployed and operated within the city of Egypt Alexandria. The Translator Interpreter engaged under this Purchase Order shall provide real-time oral interpretation and written translation services in the languages of Arabic (Egyptian dialect and Modern Standard Arabic), English, and French, supporting the Buyer’s ongoing commercial negotiations, regulatory filings, port authority communications, and bilateral trade meetings conducted in Egypt Alexandria.
The Translator Interpreter shall be a professionally accredited linguist holding a minimum of five (5) years of documented experience in simultaneous and consecutive interpretation, with demonstrated familiarity with Egyptian commercial law, maritime trade terminology, and the specific regulatory environment of the Port of Alexandria. The Supplier warrants that the Translator Interpreter assigned to this Purchase Order shall possess valid professional certification from the Egyptian Ministry of Foreign Affairs or an equivalently recognized international body.

4.1 Place of Performance
All services rendered under this Purchase Order shall be performed exclusively within the geographic boundaries of Egypt Alexandria, including but not limited to the Corniche district, the Port of Alexandria, the Alexandria Chamber of Commerce premises, and the Buyer’s designated warehouse at El-Dekheila Industrial Zone, Alexandria. The Translator Interpreter shall be physically present in Egypt Alexandria for the entirety of the engagement period specified in Section 3.
4.2 Payment Terms
Payment against this Purchase Order shall be made in two (2) installments: fifty percent (50%) upon execution of this Purchase Order and confirmation of the Translator Interpreter’s availability in Egypt Alexandria, and the remaining fifty percent (50%) within fifteen (15) business days following the Supplier’s submission of the final certified translation log and post-engagement summary. All payments shall be made via bank transfer to the Supplier’s designated account in Egyptian Pounds (EGP) through a licensed Egyptian financial institution.
4.3 Confidentiality and Non-Disclosure
The Translator Interpreter engaged under this Purchase Order shall be bound by a strict confidentiality agreement covering all commercial, legal, and regulatory information encountered during the performance of duties in Egypt Alexandria. No documents, recordings, or verbal communications shall be disclosed to any third party without the prior written consent of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4.4 Cancellation and Termination
Either party may cancel this Purchase Order with a minimum of ten (10) business days’ written notice. In the event of cancellation by the Buyer after the Translator Interpreter has commenced services in Egypt Alexandria, the Buyer shall be liable for all services rendered up to the date of cancellation plus a cancellation fee of fifteen percent (15%) of the remaining Purchase Order value.
4.5 Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from or in connection with this Purchase Order, including the performance of the Translator Interpreter in Egypt Alexandria, shall be resolved through arbitration in Alexandria, Egypt, in accordance with the rules of the Egyptian Arbitration Center. The language of arbitration shall be English.
4.6 Insurance and Liability
The Supplier shall maintain professional indemnity insurance covering the Translator Interpreter for a minimum liability of EGP 5,000,000 for the duration of this Purchase Order. The Supplier shall indemnify and hold harmless the Buyer against any claims arising from the negligence, error, or omission of the Translator Interpreter while performing services in Egypt Alexandria.
