This Purchase Order is issued by Global Operations & Logistics Group (hereinafter referred to as the "Buyer") to Mesopotamia Language & Translation Services LLC (hereinafter referred to as the "Supplier") for the provision of professional Translator Interpreter services to be deployed and executed in Iraq Baghdad. The Buyer requires the Supplier to furnish qualified, certified, and experienced Translator Interpreter personnel who shall operate exclusively within the geographic boundaries of Iraq Baghdad, including but not limited to the districts of Al-Mansour, Al-Karada, Al-Rusafa, and the Green Zone diplomatic quarter.

The Translator Interpreter services under this Purchase Order shall encompass the following scope of work:

  • Consecutive and simultaneous interpretation in Arabic (Iraqi dialect), Kurdish (Sorani), and English for all operational meetings, briefings, and negotiations conducted in Iraq Baghdad.
  • Document translation and real-time written interpretation for technical reports, contractual agreements, regulatory filings, and government correspondence pertaining to the Buyer's ongoing infrastructure and logistics projects in Iraq Baghdad.
  • On-site escort interpretation for senior management personnel, auditors, and external stakeholders visiting project sites across Iraq Baghdad.
  • Telephone and video-conference interpretation support for remote coordination with headquarters and international partners.
  • Emergency and after-hours Translator Interpreter availability for critical operational matters arising in Iraq Baghdad, with a guaranteed response time of no more than two (2) hours.

The Translator Interpreter services shall commence on 1 July 2025 and continue on a monthly rolling basis for an initial term of three (3) months, subject to renewal by mutual written agreement. All services shall be rendered physically in Iraq Baghdad at the Buyer's designated project offices and field sites. The Supplier shall ensure that all Translator Interpreter personnel are physically present in Iraq Baghdad no later than 48 hours prior to the commencement date to complete security registration, site orientation, and equipment familiarization.

Payment for this Purchase Order shall be made via wire transfer to the Supplier's designated bank account in Iraq Baghdad. Invoices shall be submitted at the end of each calendar month for services rendered. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month. The Buyer reserves the right to withhold payment for any portion of services not rendered to the satisfaction of the Buyer's Project Director in Iraq Baghdad.

  1. Qualifications: All Translator Interpreter personnel assigned under this Purchase Order must hold a minimum of five (5) years of professional experience in Iraq Baghdad, possess recognized certification (e.g., ATA, AIIC, or equivalent Iraqi Ministry of Higher Education accreditation), and demonstrate fluency in the specified language pairs.
  2. Confidentiality: The Supplier and all Translator Interpreter personnel shall execute a Non-Disclosure Agreement (NDA) prior to deployment in Iraq Baghdad. All documents, recordings, and verbal communications encountered during the course of service shall be treated as strictly confidential.
  3. Compliance: The Supplier shall ensure full compliance with all applicable laws and regulations of the Republic of Iraq, including but not limited to the Iraqi Labor Law, data protection statutes, and security protocols governing the Green Zone and sensitive areas in Iraq Baghdad.
  4. Performance Standards: The Translator Interpreter shall maintain a minimum accuracy rate of 95% as assessed by the Buyer's quality assurance team. Failure to meet this standard for two consecutive evaluations shall constitute grounds for immediate replacement at the Supplier's expense.
  5. Insurance: The Supplier shall maintain comprehensive professional liability insurance and personal accident coverage for all Translator Interpreter personnel operating in Iraq Baghdad, with a minimum coverage of USD 500,000 per incident.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected immediately upon written notice. Termination shall not affect accrued payment obligations.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to armed conflict, civil unrest, government-imposed curfews, or pandemics affecting Iraq Baghdad.
Note: This Purchase Order is governed by the laws of the Republic of Iraq. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Iraq Baghdad in accordance with the rules of the Iraqi Arbitration Center. The language of this Purchase Order and all related communications shall be English, with Arabic translations provided for regulatory filing purposes in Iraq Baghdad.

This Purchase Order is valid upon signature by both parties. The Supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, pricing, and service obligations outlined herein for the provision of Translator Interpreter services in Iraq Baghdad.
