This Purchase Order is issued by GlobalBridge International Consulting Pvt. Ltd. (hereinafter referred to as the "Buyer") to LinguaBridge Professional Translation & Interpretation Services (P) Ltd. (hereinafter referred to as the "Seller") for the provision of certified Translator Interpreter services to be rendered exclusively within the Nepal Kathmandu metropolitan area and its immediate surrounding districts.

The Buyer requires the engagement of a qualified Translator Interpreter to support a series of bilateral trade negotiations, multilateral development forum sessions, and corporate board meetings scheduled to take place at the International Convention Centre, Kathmandu, and the United Nations Office in Nepal Kathmandu. The Translator Interpreter shall be proficient in English, Nepali, Hindi, and Mandarin Chinese, with a minimum of eight (8) years of documented professional experience in simultaneous and consecutive interpretation within diplomatic, legal, and commercial contexts.

All Translator Interpreter services under this Purchase Order shall be physically present in Nepal Kathmandu for the duration of the contracted engagement period. Remote or hybrid interpretation is not acceptable under the terms of this Purchase Order unless mutually agreed in writing by both parties.

4.1 Scope and Location

All Translator Interpreter services procured under this Purchase Order shall be performed in Nepal Kathmandu, specifically at venues pre-approved by the Buyer. The Seller warrants that the assigned Translator Interpreter holds valid professional certification from the Nepal Translation and Interpretation Council (NTIC) and possesses a current work permit valid for the entire contract period within Nepal Kathmandu.

4.2 Quality Standards

The Translator Interpreter shall adhere to ISO 13639 (Interpretation services) and ISO 17100 (Translation services) quality management standards. Any deviation from the agreed linguistic accuracy threshold of 98% shall entitle the Buyer to request a re-performance of the affected session at no additional cost under this Purchase Order.

4.3 Confidentiality and Non-Disclosure

The Seller and the assigned Translator Interpreter shall execute a separate Non-Disclosure Agreement (NDA) prior to the commencement of services. All documents, recordings, and verbal communications encountered during the Translator Interpreter engagement in Nepal Kathmandu shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the Buyer.

4.4 Payment Terms

Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Seller. The Buyer shall remit payment via bank transfer to the Seller's designated account in Nepal Kathmandu. A 2% late-payment penalty shall apply for any invoice settled beyond the stipulated period. The total value of this Purchase Order is NPR 1,976,370 (One Million Nine Hundred Seventy-Six Thousand Three Hundred Seventy Nepali Rupees only), inclusive of all applicable taxes.

4.5 Cancellation and Termination

Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of cancellation by the Buyer after the Translator Interpreter has commenced services in Nepal Kathmandu, the Buyer shall compensate the Seller for all hours rendered up to the date of termination, plus a 10% administrative fee on the unfulfilled balance.

4.6 Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Nepal Kathmandu under the rules of the Nepal Arbitration Centre. The language of arbitration shall be English.

4.7 Insurance and Liability

The Seller shall maintain professional indemnity insurance with a minimum coverage of NPR 10,000,000 for the duration of this Purchase Order. The Seller assumes full liability for any errors, omissions, or unprofessional conduct by the assigned Translator Interpreter during the service period in Nepal Kathmandu.

Services shall commence on 1 July 2025 and conclude on 31 August 2025, subject to the Buyer's written confirmation of venue availability in Nepal Kathmandu. The Buyer's designated project manager shall issue a formal Acceptance Certificate within five (5) business days following the completion of each service milestone. Failure to issue such certificate within the stipulated period shall constitute deemed acceptance under this Purchase Order.
