1. Purchase Order Summary

This Purchase Order is issued by Pacific Rim Corporate Services Ltd. to formally request and authorize the procurement of professional Translator Interpreter services to be delivered in New Zealand Auckland. The Translator Interpreter engagement is required to support a series of multilingual business negotiations, regulatory compliance meetings, and client-facing presentations scheduled across the New Zealand Auckland metropolitan area during the period of 1 July 2025 through 30 September 2025. This Purchase Order constitutes a binding agreement upon acceptance by the supplier and governs all terms, conditions, deliverables, and payment arrangements associated with the Translator Interpreter engagement in New Zealand Auckland.

2. Scope of Services – Translator Interpreter

The Translator Interpreter services procured under this Purchase Order shall encompass the following deliverables, all to be performed within the New Zealand Auckland region:

• Consecutive and simultaneous interpretation between English and Mandarin Chinese for a minimum of 48 hours of face-to-face business meetings in New Zealand Auckland.
• Consecutive and simultaneous interpretation between English and Korean for a minimum of 32 hours of regulatory and legal proceedings in New Zealand Auckland.
• Document translation (written) of approximately 12,000 words of technical and commercial documentation from English to Mandarin Chinese and from English to Korean, to be completed in New Zealand Auckland.
• On-site Translator Interpreter support for three (3) multi-day trade exhibitions hosted at the Auckland Convention Centre, New Zealand Auckland.
• Remote video-conference interpretation support for a minimum of 16 hours, with the Translator Interpreter physically located in New Zealand Auckland.

4. Delivery and Performance Schedule

All Translator Interpreter services specified in this Purchase Order shall be performed in New Zealand Auckland between the dates of 1 July 2025 and 30 September 2025. The supplier, LinguaBridge Professional Translation & Interpretation Ltd., shall confirm the names, qualifications, and availability of each Translator Interpreter assigned to this engagement no later than 10 business days prior to the commencement date. The buyer reserves the right to request a substitute Translator Interpreter of equivalent or superior qualification should the originally assigned professional become unavailable. All on-site services in New Zealand Auckland shall commence no later than 30 minutes before the scheduled meeting time.

5. Payment Terms

Payment for the Translator Interpreter services under this Purchase Order shall be made in accordance with the following schedule: 30% of the total Purchase Order value ($14,004.00 NZD) shall be due upon execution of this Purchase Order as a deposit. The remaining 70% ($32,676.00 NZD) shall be invoiced in monthly installments at the end of each calendar month during the service period and is payable within thirty (30) days of receipt of a valid tax invoice. All payments shall be made via electronic funds transfer (EFT) to the supplier's nominated bank account in New Zealand Auckland. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the New Zealand Commerce Act 1986.

6. Terms and Conditions

6.1 This Purchase Order is governed by and shall be construed in accordance with the laws of New Zealand, specifically as applicable in the Auckland region.

6.2 The Translator Interpreter engaged under this Purchase Order shall maintain strict confidentiality of all business, legal, and technical information encountered during the course of service delivery in New Zealand Auckland. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.

6.3 The supplier warrants that all Translator Interpreter personnel assigned to this Purchase Order hold current professional certifications from recognized bodies such as the New Zealand Institute of Translators and Interpreters (NZITI) or equivalent international accreditation.

6.4 The buyer may cancel this Purchase Order in whole or in part with a minimum of fourteen (14) days written notice. In the event of cancellation, the supplier shall be compensated for all Translator Interpreter services rendered up to the date of cancellation plus any non-recoverable expenses incurred in New Zealand Auckland.

6.5 Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland before proceeding to the District Court of Auckland.

6.6 The supplier shall carry professional indemnity insurance of no less than NZD $5,000,000 for the duration of the Translator Interpreter engagement.

7. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Translator Interpreter services to be delivered in New Zealand Auckland. This Purchase Order becomes effective upon the signature of both the authorized representative of the buyer and the authorized representative of the supplier.
