1. SCOPE OF SERVICES – TRANSLATOR INTERPRETER ENGAGEMENT

This Purchase Order is issued by Andean Corporate Solutions S.A.C. to formally request the professional services of a certified Translator Interpreter for a series of corporate events, bilateral trade negotiations, and multilingual conference proceedings to be conducted in Peru Lima during the period of July 1, 2025, through July 15, 2025. The Translator Interpreter shall be responsible for providing real-time oral interpretation and written translation services between English, Spanish, and Quechua across all scheduled engagements. The selected Translator Interpreter must hold a minimum of eight (8) years of documented professional experience in simultaneous and consecutive interpretation, with verified credentials from a recognized linguistic accreditation body. All services rendered under this Purchase Order shall be performed exclusively within the metropolitan area of Peru Lima, including but not limited to the districts of San Isidro, Miraflores, and La Molina, where the primary corporate offices and event venues are located.

3. TERMS AND CONDITIONS

The Translator Interpreter engaged under this Purchase Order shall comply with all applicable Peruvian labor regulations and professional conduct standards. The service provider, LinguaPro International Services E.I.R.L., guarantees that the Translator Interpreter assigned to this contract shall maintain strict confidentiality regarding all proprietary business information, trade secrets, and sensitive negotiation content encountered during the engagement in Peru Lima. Any breach of confidentiality shall result in immediate termination of this Purchase Order and liability for damages as stipulated under Peruvian commercial law.

The Translator Interpreter must arrive at each venue in Peru Lima no later than sixty (60) minutes prior to the scheduled start of each interpretation session. All interpretation equipment, including headsets, microphones, and simultaneous interpretation consoles, shall be provided and maintained by the vendor at no additional cost to the purchaser. The vendor shall bear full responsibility for equipment malfunctions and shall ensure a backup Translator Interpreter is on standby for any session exceeding four (4) consecutive hours.

Payment shall be processed via bank transfer to the vendor's designated account in Peru Lima within thirty (30) calendar days of receipt of a valid invoice (Factura) issued in accordance with the requirements of the Peruvian Superintendency of National Taxation (SUNAT). Late payments shall accrue interest at the rate established by the Central Reserve Bank of Peru.

4. QUALITY ASSURANCE AND ACCEPTANCE

Upon completion of all services outlined in this Purchase Order, the purchasing department of Andean Corporate Solutions S.A.C. shall conduct a quality review of the Translator Interpreter's performance. Acceptance of services is contingent upon the Translator Interpreter demonstrating accurate, fluent, and culturally appropriate translation and interpretation across all three required language pairs. The client reserves the right to request revisions to written translations within ten (10) business days of delivery. Oral interpretation services, once rendered in real time in Peru Lima, shall be deemed accepted upon completion of the session unless a material error is documented and reported within twenty-four (24) hours.

Note: This Purchase Order is subject to the General Terms and Conditions of Andean Corporate Solutions S.A.C. and the applicable provisions of the Peruvian Civil Code and Commercial Code. In the event of any dispute arising from this Purchase Order, the competent courts of Peru Lima shall have exclusive jurisdiction. 5. AUTHORIZATION AND SIGNATURES
