This Purchase Order is issued by Al-Rashid Industrial Group Co. Ltd. (hereinafter referred to as the "Purchaser") to Global Linguistic Solutions LLC (hereinafter referred to as the "Supplier") for the provision of professional Translator Interpreter services to be rendered on-site and remotely in Saudi Arabia Jeddah. The Translator Interpreter services are required to support the Purchaser's ongoing joint-venture negotiations, regulatory compliance meetings with the Saudi Ministry of Commerce, and technical documentation translation for the new manufacturing facility located in the Jeddah Islamic Port Free Zone.
The Translator Interpreter shall possess a minimum of eight (8) years of documented professional experience in simultaneous and consecutive interpretation between Arabic (Saudi dialect) and English, with specialized knowledge in industrial engineering, commercial law, and Saudi regulatory frameworks. All Translator Interpreter personnel assigned under this Purchase Order must hold valid Saudi Arabian work permits (Iqama) and be registered with the Saudi Commission for Translation and Interpretation.

All on-site Translator Interpreter services under this Purchase Order shall be performed at the Purchaser's headquarters and project sites within Saudi Arabia Jeddah, specifically at the following locations: Al-Rashid Industrial Group Head Office (King Fahd Road), Jeddah Islamic Port Free Zone – Manufacturing Facility, and the Saudi Ministry of Commerce regional office in Jeddah. Remote interpretation sessions shall be conducted via the Purchaser's approved secure video-conferencing platform, with the Translator Interpreter physically located in Saudi Arabia Jeddah to ensure compliance with local data-residency requirements.
Payment for the Translator Interpreter services outlined in this Purchase Order shall be made in accordance with the following schedule:
- Advance Payment: 30% of the total Purchase Order value (SAR 135,412.50) within ten (10) business days of mutual signature and acceptance of this document.
- Progress Payments: 50% of the total (SAR 225,687.50) payable in two equal monthly installments upon verified completion of on-site Translator Interpreter hours and delivery of translated documents, subject to the Purchaser's quality review.
- Final Payment: The remaining 20% (SAR 90,275.00) shall be released within fifteen (15) business days following the successful completion of all services and submission of the final performance report by the Translator Interpreter team.
All payments shall be made via bank transfer to the Supplier's designated account in Saudi Riyal (SAR) through a licensed Saudi Arabian financial institution. The Supplier shall provide a valid Tax Invoice (Fatura) compliant with the ZATCA (Zakat, Tax and Customs Authority) e-invoicing requirements for each payment milestone.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Commercial Transactions Law and applicable regulations of the Saudi Arabian General Investment Authority (SAGIA).
- Confidentiality: The Translator Interpreter and all personnel engaged by the Supplier shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work. All documents, recordings, and verbal communications handled in Saudi Arabia Jeddah under this Purchase Order are classified as strictly confidential and proprietary to the Purchaser.
- Quality Assurance: The Supplier guarantees that all Translator Interpreter services shall meet the ISO 13639:2014 standard for interpretation services. The Purchaser reserves the right to reject any translated document or interpretation session that does not meet the agreed-upon accuracy threshold of 98% or higher.
- Subcontracting: The Supplier shall not subcontract any portion of the Translator Interpreter engagement without prior written consent from the Purchaser. Any approved subcontractor must also be based in or regularly operating within Saudi Arabia Jeddah.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all Translator Interpreter services rendered up to the effective date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Saudi Center for Commercial Arbitration (SCCA) in Jeddah, Saudi Arabia.
- Compliance: The Supplier warrants that all Translator Interpreter personnel are in full compliance with Saudi labor laws, visa regulations, and the Nationality Law of the Kingdom of Saudi Arabia. The Supplier shall maintain all necessary permits for the duration of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Translator Interpreter services in Saudi Arabia Jeddah. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
