This Purchase Order is issued to formally authorize the procurement of professional Translator Interpreter services to be rendered on-site in Spain Madrid. The services are required to support Iberia Global Communications S.L. during the Q3 2025 International Trade Summit, which will be held at the IFEMA Exhibition Centre, Paseo de la Castellana 145, 28046 Madrid, Spain, from 8 September 2025 through 12 September 2025.

The Translator Interpreter engagement encompasses both consecutive and simultaneous interpretation across all plenary sessions, bilateral meeting rooms, and press briefing areas. Additionally, the Translator Interpreter shall provide real-time document translation for all official proceedings, including but not limited to keynote address transcripts, resolution drafts, and bilateral agreement memoranda. The primary language pair for this Translator Interpreter assignment is English (native) to Spanish (Castilian, Madrid dialect), with secondary support in French and German for designated breakout sessions.

All Translator Interpreter personnel assigned to this Purchase Order must hold a minimum of five (5) years of documented professional experience in conference interpretation within the Spain Madrid metropolitan area or equivalent international venues. Each Translator Interpreter must be a certified member of the Asociación de Intérpretes y Traductores de Madrid (AITM) and must present valid professional indemnity insurance with a minimum coverage of EUR 1,000,000 per occurrence.

5.1 Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice from LinguaBridge Professional Services Ltd. Payment shall be processed via SEPA bank transfer to the account designated on the invoice. The total amount under this Purchase Order is EUR 21,368.60 inclusive of 21% VAT applicable in the Spain Madrid tax jurisdiction.

5.2 Delivery and Performance: All Translator Interpreter services must commence no later than 07:00 CET on 8 September 2025 at the IFEMA venue in Spain Madrid. The Translator Interpreter team must complete a full equipment check and sound calibration no later than 16:00 CET on 7 September 2025. Any failure to meet these deadlines shall entitle the Buyer to withhold 5% of the total Purchase Order value per day of delay, up to a maximum of 25%.

5.3 Confidentiality: The Translator Interpreter personnel and all subcontractors engaged under this Purchase Order shall execute a Non-Disclosure Agreement (NDA) prior to accessing any documents or attending any sessions. All materials, transcripts, recordings, and notes produced during the Translator Interpreter engagement in Spain Madrid shall remain the exclusive property of Iberia Global Communications S.L. and shall not be reproduced, distributed, or referenced in any public or private capacity without prior written consent.

5.4 Cancellation and Termination: The Buyer reserves the right to cancel this Purchase Order in whole or in part with a minimum of fourteen (14) calendar days' written notice prior to the commencement date. In the event of cancellation, the Supplier shall be compensated for all non-recoverable costs incurred up to the date of cancellation, not to exceed 40% of the total Purchase Order value.

5.5 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order, including the performance of Translator Interpreter services in Spain Madrid, shall be subject to the exclusive jurisdiction of the Commercial Courts of Madrid, Spain.

5.6 Insurance and Liability: The Supplier shall maintain professional liability insurance and public liability insurance throughout the duration of the Translator Interpreter engagement. The Supplier shall indemnify and hold harmless the Buyer against any claims, losses, or damages arising from the negligence or professional misconduct of any Translator Interpreter assigned under this Purchase Order.

This Purchase Order constitutes a binding offer to purchase the Translator Interpreter services described herein. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this document. The Translator Interpreter services shall be performed exclusively at the designated venue in Spain Madrid unless otherwise agreed in writing by both parties.
