This Purchase Order is issued by the Guangzhou International Education & Research Institute (hereinafter referred to as the "Institute") to procure the professional academic services of a qualified University Lecturer for delivery of structured coursework, research supervision, and examination duties within the Institute's campus facilities located in China Guangzhou. The services described herein are subject to the terms, conditions, and regulatory requirements set forth in this document and applicable laws of the People's Republic of China.

All services under this Purchase Order shall commence on 1 September 2025 and conclude on 28 February 2026, corresponding to the Autumn 2025 academic semester at the Institute. The University Lecturer is required to report to the Institute's main administrative office in Tianhe District, China Guangzhou, no later than 08:00 hours on the first day of instruction. All teaching, supervision, and examination activities shall be conducted on the Institute's premises unless otherwise approved in writing by the Head of the Department of Economics.

The University Lecturer shall maintain a minimum attendance of 95% across all scheduled contact hours. Any absence exceeding three consecutive days must be reported to the Procurement Department and the Department Chair no later than 24 hours in advance, with a qualified substitute arranged at the University Lecturer's own expense.

  • The total value of this Purchase Order is CNY 175,600.00 (One Hundred Seventy-Five Thousand Six Hundred Chinese Yuan), inclusive of all applicable service fees. Value Added Tax (VAT) at the prevailing rate of 6% for modern services shall be calculated separately and added to the invoice total.
  • Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 30% upon completion of the mid-semester examination cycle (week 9), and the remaining 30% within 30 calendar days following the final end-of-semester examination and submission of all graded materials.
  • All payments shall be remitted via bank transfer to the account designated by the University Lecturer in writing. The Institute shall not be liable for any delay in payment resulting from incomplete or incorrect banking information provided by the service provider.
  • Invoices must be submitted to the Procurement Department in China Guangzhou no later than five (5) business days following the end of each billing period. Late-submitted invoices may be deferred to the next available payment cycle.
  • Qualification Requirement: The University Lecturer must hold a minimum of a Doctoral degree (PhD) in Economics or a closely related discipline, and must possess a valid teaching qualification recognized by the Ministry of Education of the People's Republic of China. Proof of qualifications shall be provided prior to the commencement date.
  • Compliance with Local Regulations: All services rendered under this Purchase Order shall comply with the Education Law of the People's Republic of China, the Higher Education Law, and all applicable municipal regulations governing academic personnel in China Guangzhou. The University Lecturer is responsible for maintaining any required work permits, residence permits, or professional registrations throughout the contract period.
  • Intellectual Property: All course materials, examination papers, digital resource packs, and other intellectual property created specifically for the Institute under this Purchase Order shall become the sole property of the Guangzhou International Education & Research Institute upon full payment. The University Lecturer retains the right to use pre-existing materials and methodologies for personal academic purposes, provided no confidential Institute data is disclosed.
  • Confidentiality: The University Lecturer shall treat all student records, examination content, internal Institute communications, and proprietary curricula as strictly confidential. Breach of confidentiality shall result in immediate termination of this Purchase Order and may constitute grounds for legal action under Chinese law.
  • Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause (including but not limited to gross misconduct, failure to meet the 95% attendance threshold, or loss of professional licensure), the terminating party shall provide seven (7) days' notice. Upon termination, the University Lecturer shall be compensated only for services actually rendered up to the effective date of termination.
  • Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to the Guangzhou Arbitration Commission in China Guangzhou for binding arbitration in accordance with its then-current rules. The language of arbitration shall be Mandarin Chinese.
  • Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, public health emergencies, or changes in national or municipal policy affecting educational institutions in China Guangzhou.
Important Note: This Purchase Order constitutes a binding procurement document for the engagement of a University Lecturer by the Guangzhou International Education & Research Institute. All parties acknowledge that this document is governed by the laws of the People's Republic of China and that the primary place of performance is China Guangzhou, Guangdong Province. This Purchase Order is valid only when signed and stamped by both authorized representatives.
