This Purchase Order is issued by the Université de Kinshasa to formally engage the professional services of a University Lecturer for the 2025/2026 academic year. The engagement pertains to the delivery of academic instruction, research supervision, and curricular development within the Faculty of Human and Social Sciences, located in Kinshasa, Democratic Republic of Congo. The University Lecturer shall be responsible for the following deliverables and obligations as outlined below:

All amounts are stated in United States Dollars (USD). Payment shall be processed through the university's designated banking account at the National Bank of Congo (BNC), Kinshasa branch. Applicable withholding tax under the tax code of the Democratic Republic of Congo shall be deducted at source where required by law.

The following terms and conditions govern this Purchase Order and the engagement of the University Lecturer:

  1. Commencement and Duration: This Purchase Order shall take effect on 1 September 2025 and shall remain valid through the conclusion of the 2025/2026 academic year, ending on 31 July 2026, unless terminated earlier in accordance with Clause 7.
  2. Payment Schedule: Payment shall be made in three (3) equal installments: the first installment upon execution of this Purchase Order, the second installment at the midpoint of the academic year (January 2026), and the final installment upon satisfactory completion of all deliverables and submission of the final academic report. Each installment shall be paid within fifteen (15) business days of the corresponding due date.
  3. Performance Standards: The University Lecturer shall maintain a minimum student satisfaction rating of 75% as assessed through the university's internal evaluation system administered at the end of each semester. Failure to meet this standard for two consecutive semesters shall constitute grounds for review of this Purchase Order.
  4. Intellectual Property: All course materials, syllabi, examination papers, and curricular documents developed under this Purchase Order shall remain the property of the Université de Kinshasa. The University Lecturer retains the right to publish original research findings, provided that the university is acknowledged as the institutional affiliation in all such publications.
  5. Compliance with Local Law: This Purchase Order and the services rendered hereunder shall be governed by and construed in accordance with the laws of the Democratic Republic of Congo, including but not limited to the national education code, labor regulations applicable to academic staff, and the tax code of DR Congo Kinshasa. Any disputes arising from this Purchase Order shall be resolved through the internal dispute resolution mechanism of the university before recourse to the competent courts of Kinshasa.
  6. Confidentiality: The University Lecturer shall treat all student records, examination materials, and internal university communications as strictly confidential. This obligation shall survive the termination or expiration of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the University Lecturer shall be compensated for all services rendered up to the date of termination. In the event of termination for cause (including but not limited to gross misconduct, failure to perform academic duties, or violation of the code of conduct of the university), no further payment shall be due beyond the date of the breach.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-imposed restrictions, or public health emergencies affecting the DR Congo Kinshasa region. The affected party shall notify the other party in writing within seven (7) days of the occurrence of such event.
  9. Amendments: No amendment, modification, or supplement to this Purchase Order shall be valid unless made in writing and signed by both authorized signatories identified in Section 1.

The University Lecturer shall submit a written progress report to the Dean's office at the end of each semester, detailing lecture delivery status, student performance summaries, thesis supervision progress, and any curricular modifications implemented. A comprehensive end-of-year report shall be submitted no later than 15 July 2026. All reports shall be submitted in both French and English, in accordance with the bilingual academic policy of the Université de Kinshasa.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the University Lecturer's academic services at the Université de Kinshasa, DR Congo Kinshasa, for the 2025/2026 academic year.
