  • 4.1 This Purchase Order constitutes a binding agreement between Goethe University Frankfurt am Main (hereinafter "the University") and the designated University Lecturer for the academic year 2025/2026. All services shall be performed at the University's main campus located in Germany Frankfurt, specifically at Theodor-W.-Adorno-Platz 3, 60323 Frankfurt am Main.
  • 4.2 The University Lecturer shall comply with all applicable German labor laws, data protection regulations (GDPR and the Hessian Data Protection Act – HDSG), and the internal academic code of conduct of the University. All teaching materials and student data must be handled in strict accordance with these legal frameworks.
  • 4.3 Payment shall be made via bank transfer to the IBAN specified in Section 1 within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-FL-04872) and include the University Lecturer's VAT identification number.
  • 4.4 The University reserves the right to audit the services rendered and the expenses incurred under this Purchase Order. The University Lecturer shall maintain all supporting documentation for a minimum period of six (6) years in accordance with German commercial record-keeping requirements (HGB § 257).
  • 4.5 Any modifications to the scope of services, delivery schedules, or financial terms outlined in this Purchase Order must be agreed upon in writing by both parties. Verbal agreements or informal communications shall not constitute a valid amendment.
  • 4.6 In the event of force majeure, including but not limited to public health emergencies, natural disasters, or government-ordered campus closures in Germany Frankfurt, either party may suspend performance obligations without penalty. Affected parties must notify the other in writing within five (5) business days.
  • 4.7 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
  • 4.8 The University Lecturer warrants that all academic content, lecture materials, and research outputs produced under this engagement shall be original and free from intellectual property infringement. The University retains institutional ownership of all course materials developed specifically for its curriculum.
  • 4.9 The University Lecturer shall maintain professional liability insurance with a minimum coverage of € 1,000,000 per claim throughout the duration of this Purchase Order. Proof of insurance shall be provided to the Office of Academic Procurement prior to the commencement of services.

All teaching sessions and academic deliverables under this Purchase Order shall commence on 15 September 2025 and conclude on 28 February 2026, corresponding to the winter semester of the academic year 2025/2026 at Goethe University Frankfurt am Main. The University Lecturer is expected to be available on campus in Germany Frankfurt for a minimum of twenty (20) hours per week during the active teaching period. Specific weekly schedules shall be coordinated with the Department of International Business no later than 1 August 2025.
