This Purchase Order is issued to formally engage the services of a qualified UX UI Designer based in Argentina Buenos Aires to deliver comprehensive user experience and user interface design services for Andes Digital Solutions S.A. The UX UI Designer shall be responsible for the end-to-end design process, including but not limited to: user research and persona development, information architecture, wireframing, interactive prototyping, visual interface design, design system creation, usability testing coordination, and handoff documentation for the development team. All deliverables must adhere to international design standards while incorporating cultural and accessibility considerations relevant to the Argentine market and the broader Latin American user base.

• Payment Schedule: 40% upon Purchase Order acceptance, 40% upon delivery of high-fidelity UI designs, and 20% upon final handoff and acceptance.
• Payment Method: Bank transfer (Transferencia Bancaria) to the account designated by the UX UI Designer. All payments shall be made in Argentine Pesos (ARS) to a local bank account in Buenos Aires, Argentina.
• Payment Due Date: Net 15 days from the date of each invoice issued by the service provider.
• Tax Compliance: The supplier shall issue a valid Factura Electrónica (Electronic Invoice) in accordance with the Argentine Federal Administration of Public Revenue (AFIP) regulations. The CUIT of the buyer must be included on all invoices.

• Estimated Completion: September 15, 2025
• Work Location: The UX UI Designer shall perform services from their office located in Buenos Aires, Argentina, with weekly in-person meetings at the buyer's premises on Av. Corrientes 1250, Buenos Aires, Argentina.
• Deliverable Format: All design files shall be delivered in Figma, Adobe XD, and PDF formats. Source files and design tokens shall be transferred to the buyer's project repository upon completion.

• This Purchase Order constitutes a binding agreement between the parties upon signature. All work performed under this Purchase Order is governed by the Civil and Commercial Code of the Argentine Nation (Código Civil y Comercial de la Nación).
• The UX UI Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall not incorporate any third-party assets without proper licensing.
• Upon full payment, all intellectual property rights to the final deliverables shall transfer exclusively to Andes Digital Solutions S.A. The UX UI Designer retains the right to display the work in their professional portfolio with prior written consent.
• Either party may terminate this Purchase Order with 15 business days written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date.
• Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Argentina Buenos Aires.
• Disputes arising from this Purchase Order shall be resolved through mediation in the city of Buenos Aires, Argentina, in accordance with applicable Argentine law.
• This Purchase Order is valid for 30 calendar days from the date of issue. If not accepted within this period, a new Purchase Order must be generated.
