This Purchase Order is issued by Meridian Digital Solutions Pty Ltd to engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services for our flagship enterprise platform, "Aurora Commerce Suite." The engagement is to be performed in and around Australia Brisbane, with the primary work location being our client-facing office at Level 12, 400 George Street, Brisbane, Queensland 4000. The UX UI Designer shall be responsible for conducting user research, wireframing, prototyping, visual interface design, usability testing, and the delivery of a complete design system aligned with Australian accessibility standards (WCAG 2.1 AA) and local market expectations.

The scope of this Purchase Order covers a twelve (12) month engagement commencing on 1 July 2025 and concluding on 30 June 2026, with the option to extend by an additional six (6) months subject to mutual written agreement. The UX UI Designer shall dedicate a minimum of 40 hours per week to the project and shall report directly to the Head of Product Design at Meridian Digital Solutions, Australia Brisbane office.

4.1 This Purchase Order is governed by the laws of the State of Queensland, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved in the courts of Australia Brisbane, Queensland.

4.2 The UX UI Designer shall comply with all applicable Australian employment, privacy (Privacy Act 1988), and intellectual property legislation. All design artefacts, source files, and documentation produced under this Purchase Order shall be the sole intellectual property of Meridian Digital Solutions Pty Ltd upon full payment.

4.3 Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the vendor within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.

4.4 The vendor warrants that the UX UI Designer engaged under this Purchase Order possesses a minimum of seven (7) years of professional experience in user experience and user interface design, with demonstrable portfolios relevant to enterprise SaaS and e-commerce platforms.

4.5 All work shall be performed in accordance with the Australian Standard AS/NZS 3008 (Design of Electrical Installations) where applicable to on-site facilities, and the UX UI Designer shall adhere to the Australian Government Digital Service (AGDS) design principles as a best-practice benchmark.

4.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the effective date of termination, less any amounts already paid.

4.7 The vendor shall maintain professional indemnity insurance with a minimum cover of AUD 10,000,000 and public liability insurance of AUD 20,000,000 for the duration of this Purchase Order.

Deliverables under this Purchase Order shall be accepted upon written sign-off by the Head of Product Design. The UX UI Designer shall submit deliverables in the following cadence: bi-weekly progress reports, monthly design sprints with stakeholder reviews, and a final comprehensive design system handoff package at the conclusion of the engagement. All deliverables must be produced in Figma with full layer organisation, component naming conventions, and developer-ready annotations. The final handoff shall include a complete design token library, accessibility audit report, and a 90-day post-handoff support window for the UX UI Designer to address any design-related queries from the development team in Australia Brisbane.
