This Purchase Order is issued by Melbourne Digital Solutions Pty Ltd to engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design solutions for our flagship digital product, the "Melbourne Connect" civic engagement platform. The engagement is based in Australia Melbourne and will be conducted primarily at our Collins Street office with remote collaboration permitted as outlined in Section 5.

The UX UI Designer shall be responsible for the following deliverables and activities:

• Conducting user research, stakeholder interviews, and usability testing sessions with a minimum of 25 end-users based in the Australia Melbourne metropolitan area.
• Developing user personas, journey maps, and information architecture for the platform, ensuring cultural relevance to the diverse Australia Melbourne community.
• Designing wireframes, interactive prototypes, and high-fidelity UI mockups for both web and mobile interfaces using industry-standard tools including Figma, Adobe XD, and Sketch.
• Creating and maintaining a comprehensive design system and component library aligned with Australian accessibility standards (WCAG 2.1 AA) and the Australian Government Digital Service (AGDS) design guidelines.
• Performing iterative usability testing cycles (minimum three rounds) and incorporating feedback into refined design iterations.
• Providing design documentation, handoff specifications, and developer support during the implementation phase.
• Delivering a final UX UI Designer report summarising research findings, design rationale, and recommendations for future iterations.

Payment for this Purchase Order shall be made in accordance with the following schedule. All amounts are quoted in Australian Dollars (AUD) and include 10% Goods and Services Tax (GST) as applicable under Australian tax law. Invoices shall be submitted at the completion of each phase, and payment is due within thirty (30) calendar days of invoice receipt. The buyer, Melbourne Digital Solutions Pty Ltd, reserves the right to withhold payment for any phase where deliverables do not meet the acceptance criteria defined in Section 6. Late payments shall accrue interest at the rate of 1.5% per month as per the Australian Consumer Law and applicable Victorian commercial tenancy and contract regulations.

The UX UI Designer shall conduct a minimum of four (4) days per week at the buyer's office located at Level 12, 350 Collins Street, Australia Melbourne, VIC 3000. The remaining work may be performed remotely at the supplier's premises in Australia Melbourne. The supplier is responsible for providing all necessary software licences, hardware, and tools required to fulfil the obligations under this Purchase Order. The buyer shall provide access to internal systems, user databases (in anonymised form), and project management tools. All work product, including but not limited to design files, research data, and documentation, shall be the exclusive intellectual property of Melbourne Digital Solutions Pty Ltd upon full payment.

Each deliverable under this Purchase Order shall be subject to a ten (10) business day review period. The UX UI Designer's work shall be deemed acceptable if it meets the following criteria: adherence to the approved design brief, compliance with WCAG 2.1 AA accessibility standards, alignment with the Australia Melbourne civic branding guidelines, and approval by the buyer's Product Director. Any revisions required during the review period shall be completed within five (5) business days at no additional cost to the buyer, provided the revisions fall within the original scope defined in this Purchase Order.

Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the engagement. The UX UI Designer shall comply with the Australian Privacy Act 1988 and the Notifiable Data Breaches scheme when handling any personal data collected during user research in Australia Melbourne. A separate Non-Disclosure Agreement (NDA) referenced as NDA-2025-0891 is incorporated into this Purchase Order by reference.

Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all completed and accepted deliverables up to the date of termination. Any disputes arising from this Purchase Order shall be resolved through mediation in Australia Melbourne in accordance with the Victorian Commercial Arbitration Act 2011 before proceeding to litigation in the Victorian Supreme Court.
