This Purchase Order is issued by Dhaka Digital Solutions Ltd. to formally engage the services of a qualified UX UI Designer based in Bangladesh Dhaka. The selected UX UI Designer shall be responsible for the complete design lifecycle of our upcoming enterprise mobile application and web platform, ensuring that all user experience and user interface deliverables meet international standards while remaining culturally relevant to the Bangladesh Dhaka market and broader South Asian user base.

The UX UI Designer shall operate primarily from the Bangladesh Dhaka office located at Banani, with periodic on-site collaboration sessions at the buyer's premises in Gulshan-1, Bangladesh Dhaka. All design work, client meetings, and stakeholder presentations related to this Purchase Order shall be conducted in Bangladesh Dhaka unless otherwise agreed in writing by both parties.

Total in words: One Million Six Hundred and Six Thousand Seven Hundred and Fifty Bangladeshi Taka only.

• 30% Advance Payment (BDT 482,025): Due within 7 working days of acceptance of this Purchase Order, prior to the commencement of the UX UI Designer engagement in Bangladesh Dhaka.
• 40% Milestone Payment (BDT 642,700): Due upon successful delivery and buyer approval of the High-Fidelity UI Design package (Deliverable #3).
• 30% Final Payment (BDT 482,025): Due within 15 working days of final acceptance of all deliverables and completion of the developer support period.

All payments shall be made via bank transfer to the supplier's designated account in Bangladesh Dhaka. The buyer shall bear any applicable banking charges. Invoices must reference this Purchase Order number (PO-BD-DHK-2025-0472) for processing.

• This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act, 2001.
• The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies disclosed during the course of this engagement in Bangladesh Dhaka. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the start of work.
• All intellectual property rights in the final deliverables, including but not limited to design files, prototypes, design systems, and documentation, shall vest exclusively in the buyer upon full and final payment under this Purchase Order.
• The UX UI Designer shall dedicate a minimum of 40 hours per week to this project while physically present in Bangladesh Dhaka. Remote work from other locations requires prior written approval from the buyer.
• The buyer reserves the right to request up to three (3) rounds of revisions per deliverable at no additional cost. Revisions beyond the agreed scope shall be billed at BDT 8,500 per hour.
• Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the date of termination.
• The supplier warrants that the UX UI Designer assigned to this Purchase Order possesses a minimum of 5 years of professional experience in UX UI design and holds a relevant degree or certification. The buyer may request to review credentials prior to project commencement.
• All work shall comply with the Bangladesh Digital Security Act, 2018, and applicable data protection regulations in Bangladesh Dhaka.
• Force majeure events, including but not limited to natural disasters, government-mandated lockdowns in Bangladesh Dhaka, or pandemics, shall extend project timelines proportionally without penalty to either party.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Bangladesh Dhaka. This document constitutes a binding agreement upon execution by both authorized representatives.
