This Purchase Order is issued by Northbridge Digital Solutions Inc. to formally engage the services of PixelCraft Design Studio Ltd. for the provision of comprehensive UX UI Designer services. The engagement is to be performed in and around Canada Toronto, with all on-site meetings, workshops, and collaborative sessions to take place at the Buyer's office located in the Financial District of Toronto, Ontario. The UX UI Designer shall deliver a full-cycle user experience and user interface design solution for the Buyer's enterprise customer portal, mobile application, and internal dashboard systems.

• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this engagement shall be resolved through arbitration in Toronto, Ontario.
• Payment Terms: Payment shall be made in four (4) equal installments of $13,250.00 CAD, due net thirty (30) days from the date of each invoice. The first installment is due upon execution of this Purchase Order. Subsequent installments are due upon completion of Milestones 1, 2, and 3 as defined in Section 2.
• Intellectual Property: Upon full and final payment, all deliverables, source files, design assets, and documentation created by the UX UI Designer in the course of this engagement shall become the sole and exclusive property of Northbridge Digital Solutions Inc. The designer retains the right to display completed work in a professional portfolio with prior written consent from the Buyer.
• Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement in Canada Toronto. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A and incorporated herein by reference.
• Revisions: Each deliverable phase includes two (2) rounds of revisions at no additional cost. Additional revision cycles beyond the included rounds shall be billed at a rate of $185.00 CAD per hour, subject to prior written approval via a change order to this Purchase Order.
• Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables completed up to the effective date of termination.
• Compliance: The UX UI Designer shall comply with all applicable Canadian accessibility standards, including the Canadian Accessibility Act and WCAG 2.1 Level AA guidelines, for all design deliverables produced under this Purchase Order.
• Work Location: All on-site work, client meetings, and collaborative workshops shall be conducted in Canada Toronto. Remote work is permitted for individual design tasks, provided that all team-facing presentations and approvals occur in person at the Buyer's Toronto office.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the UX UI Designer services in Canada Toronto. This document constitutes a binding agreement effective as of the date of the last signature.
