This Purchase Order is issued by Horizon Digital Solutions Ltd. to formally request and authorize the procurement of specialized UX UI Designer services to be delivered and executed within the China Beijing metropolitan area. The engagement covers the full spectrum of user experience and user interface design work required for the buyer's flagship mobile application and accompanying web platform, targeting the domestic Chinese consumer market.

The contracted UX UI Designer team, based in China Beijing, shall be responsible for conducting user research, creating wireframes, developing high-fidelity visual mockups, building interactive prototypes, establishing a comprehensive design system, and providing ongoing design support throughout the product development lifecycle. All deliverables must comply with the latest Chinese digital accessibility standards and local user interaction conventions specific to the China Beijing tech ecosystem.

Payment for this Purchase Order shall be made in three installments via bank transfer to the seller's designated account in China Beijing:

• 30% Advance Payment (¥ 175,500): Due within 5 business days of mutual signature of this Purchase Order, prior to the commencement of the UX UI Designer engagement.
• 40% Milestone Payment (¥ 234,000): Due upon buyer's written acceptance of the High-Fidelity UI Design and Design System deliverables (Item 3).
• 30% Final Payment (¥ 175,500): Due within 10 business days of successful completion of the Design Handoff and Developer Support phase (Item 5).

All payments shall be processed in Chinese Yuan (CNY) through the People's Bank of China clearing system. Late payments shall incur a penalty of 0.05% per calendar day as stipulated under the Civil Code of the People's Republic of China.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this engagement between the buyer and the UX UI Designer service provider shall be resolved through arbitration at the Beijing Arbitration Commission in China Beijing.
2. Intellectual Property: Upon full and final payment, all design assets, source files, design system documentation, and related intellectual property created by the UX UI Designer team shall be transferred exclusively to the buyer. The seller retains the right to display completed work in its portfolio with prior written consent.
3. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the course of this Purchase Order. The UX UI Designer team shall sign individual Non-Disclosure Agreements (NDAs) before accessing any buyer data.
4. Work Location: All on-site activities, including user research sessions, usability testing, and team collaboration workshops, shall be conducted at the buyer's office in Haidian District, China Beijing, or at the seller's studio in Dongcheng District, China Beijing, as mutually agreed per milestone.
5. Revisions: Each deliverable includes up to three (3) rounds of revisions. Additional revision cycles beyond the included scope shall be billed at the UX UI Designer's standard hourly rate of ¥ 1,200 per hour.
6. Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of early termination, the buyer shall pay for all work completed up to the termination date, and the UX UI Designer shall deliver all in-progress files.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in China Beijing, natural disasters, or public health emergencies.
8. Compliance: The UX UI Designer services shall comply with all applicable Chinese regulations, including the Cybersecurity Law, the Personal Information Protection Law (PIPL), and the Data Security Law of the PRC.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the procurement of UX UI Designer services in China Beijing. This document constitutes a binding agreement effective from the date of the last signature.
