This Purchase Order is issued by Guangzhou Digital Innovation Technologies Co., Ltd. (hereinafter referred to as the "Buyer") to PixelCraft Design Studio (hereinafter referred to as the "Supplier") for the engagement of a senior UX UI Designer to deliver comprehensive user experience and user interface design services. The scope of this Purchase Order covers the full design lifecycle for the Buyer's next-generation mobile commerce platform, to be developed and deployed within the China Guangzhou market and subsequently expanded to regional markets across South China.

The UX UI Designer engaged under this Purchase Order shall be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing a complete design system, and providing ongoing design support throughout the product development cycle. All deliverables must align with the Buyer's brand identity and meet the usability standards expected by consumers in the China Guangzhou metropolitan area.

The UX UI Designer shall adhere to the following schedule as stipulated in this Purchase Order. All milestones are subject to approval by the Buyer's Product Management team based in Guangzhou, Guangdong Province.

• Week 1–2: Kick-off meeting, user research planning, and competitive analysis initiation in the China Guangzhou digital commerce landscape.
• Week 3–4: Completion of user personas, journey maps, and information architecture documentation.
• Week 5–7: Delivery of low-fidelity wireframes for all primary user flows.
• Week 8–11: High-fidelity UI design production, incorporating feedback from Buyer stakeholders.
• Week 12–13: Interactive prototype assembly and internal review sessions.
• Week 14–16: Usability testing with recruited participants in China Guangzhou; design iteration based on findings.
• Week 17–18: Final design system documentation, handoff to development team, and project closure.

Payment for the services outlined in this Purchase Order shall be made in accordance with the following schedule:

1. 30% Advance Payment (CNY 139,500): Due within 7 business days of Purchase Order acceptance, payable via bank transfer to the Supplier's designated account in Guangzhou, China.
2. 40% Milestone Payment (CNY 186,000): Due upon Buyer's written approval of the high-fidelity UI design deliverables (Item 04).
3. 30% Final Payment (CNY 139,500): Due within 30 days of final project acceptance and delivery of all remaining assets, including the design system and usability testing reports.

All payments shall be made in Chinese Yuan (CNY) to the following account: Bank of China, Guangzhou Branch, Account Name: PixelCraft Design Studio, Account No. 7559 2025 0001 8834. Late payments shall incur a penalty of 0.05% per calendar day beyond the due date.

• Intellectual Property: Upon full payment, all design deliverables, source files, and documentation created by the UX UI Designer under this Purchase Order shall become the exclusive property of the Buyer. The Supplier retains the right to display completed work in their portfolio with prior written consent from the Buyer.
• Confidentiality: The Supplier and the assigned UX UI Designer agree to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in China Guangzhou. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
• Revisions: Each deliverable includes up to three (3) rounds of revisions. Additional revision cycles beyond the included amount shall be billed at CNY 5,000 per round per screen set.
• Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination by the Buyer for convenience, the Supplier shall be compensated for all work completed up to the termination date.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
• Compliance: The Supplier warrants that the UX UI Designer engaged under this Purchase Order holds valid work authorization in China and that all services shall comply with applicable Chinese labor, data privacy (including the Personal Information Protection Law), and intellectual property regulations.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the UX UI Designer in China Guangzhou. This document constitutes a binding agreement between the Buyer and the Supplier upon execution by both authorized representatives.
