This Purchase Order is issued by Shanghai Digital Innovation Group Co., Ltd. to formally engage the services of a qualified UX UI Designer through PixelCraft Design Studio LLC for the duration of the project specified herein. The engagement of this UX UI Designer is specifically scoped for operations conducted within the metropolitan area of China Shanghai, where all on-site collaboration, client meetings, and deliverable presentations shall take place at the Buyer's primary office located in the Jing'an District of China Shanghai.

The UX UI Designer shall be responsible for the end-to-end design of a new enterprise-grade mobile and web application platform. The scope of work for this UX UI Designer includes, but is not limited to: user research and persona development, information architecture design, wireframing, high-fidelity interface design, interactive prototyping, usability testing coordination, design system creation, and ongoing design iteration support. The UX UI Designer is expected to possess a minimum of seven (7) years of professional experience in digital product design, with demonstrated expertise in both user experience strategy and user interface execution.

All payments under this Purchase Order shall be made via bank transfer to the account designated by PixelCraft Design Studio LLC. Invoices must reference Purchase Order number PO-2025-SH-04782. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall incur a penalty of 1.5% per month as stipulated under the commercial regulations applicable in China Shanghai.

5.1 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to commercial and intellectual property statutes applicable in the jurisdiction of China Shanghai. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai.

5.2 Intellectual Property: All work product, including but not limited to wireframes, mockups, design files, prototypes, and the design system created by the UX UI Designer under this Purchase Order, shall be the exclusive property of Shanghai Digital Innovation Group Co., Ltd. upon full payment. The UX UI Designer retains the right to display completed work in a professional portfolio only with prior written consent from the Buyer.

5.3 Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, business strategies, and trade secrets encountered during the engagement in China Shanghai. This obligation survives the termination of this Purchase Order for a period of three (3) years.

5.4 Work Location and Compliance: The UX UI Designer shall conduct all on-site work at the designated offices in China Shanghai and shall comply with all local labor regulations, data protection laws (including the Personal Information Protection Law of the PRC), and workplace safety standards applicable in China Shanghai. The Supplier is responsible for ensuring the UX UI Designer holds valid work authorization for employment in China Shanghai.

5.5 Acceptance Criteria: Deliverables at each phase shall be subject to a formal review and acceptance process by the Buyer's Product Management team. The UX UI Designer shall have up to two (2) revision cycles per milestone before additional fees apply. Acceptance shall be confirmed in writing within ten (10) business days of delivery.

5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The UX UI Designer shall deliver all work-in-progress files and documentation within seven (7) days of termination.

5.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Shanghai.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the UX UI Designer in China Shanghai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
