This Purchase Order is issued to formally authorize the procurement of specialized UX UI Designer services to be delivered and executed within the metropolitan area of Egypt Cairo. The engagement covers the full spectrum of user experience and user interface design work required for the client's upcoming digital product launch, which targets both domestic Egyptian users and international markets.

The contracted UX UI Designer shall be responsible for conducting comprehensive user research, developing wireframes and interactive prototypes, designing high-fidelity visual interfaces, establishing a cohesive design system, and performing usability testing sessions. All deliverables under this Purchase Order must reflect an understanding of the cultural, linguistic, and technological context specific to Egypt Cairo, including right-to-left (RTL) Arabic interface considerations alongside left-to-right (LTR) English layouts.

All prices are quoted in Egyptian Pounds (EGP) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 14% as mandated by the Egyptian Tax Authority for services rendered in Egypt Cairo.

The UX UI Designer shall commence work no later than June 23, 2025, and complete all primary deliverables by September 15, 2025. The post-launch support phase will extend through December 15, 2025. All on-site meetings, user testing sessions, and collaborative workshops will be conducted at the client's office located in Egypt Cairo or at the supplier's studio in Smart Village, Egypt Cairo, as mutually agreed upon in writing.

5.1 Payment Schedule: Payment for this Purchase Order shall be made in three installments: 30% upon execution of this document, 40% upon approval of the high-fidelity UI deliverables, and 30% upon final handoff. All payments shall be processed via bank transfer to the supplier's designated account in Egypt Cairo.

5.2 Intellectual Property: Upon full and final payment, all design assets, source files, design system components, and documentation created by the UX UI Designer under this Purchase Order shall become the exclusive property of the client. The supplier retains the right to display anonymized work samples in their portfolio.

5.3 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, user data collected during Egypt Cairo field studies, and business strategies shared during the engagement. This obligation survives the termination of this Purchase Order for a period of three (3) years.

5.4 Revisions: Each deliverable phase includes two (2) rounds of revisions at no additional cost. Additional revision cycles requested by the client beyond the included rounds shall be billed at the UX UI Designer's standard hourly rate of EGP 1,200 per hour.

5.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the client shall pay for all work completed up to the termination date, as certified by the UX UI Designer.

5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this agreement shall be resolved through arbitration in Egypt Cairo in accordance with the rules of the Egyptian Arbitration Center.

5.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Egypt Cairo, or widespread technological failures.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Egypt Cairo. This document constitutes a binding agreement upon execution by both authorized representatives.
